LEGAL ACCEPTANCE ACT

This Legal Acceptance Act (the "Act") is entered into as of Effective Date: by and between Party A Name: , Entity Type: , Address: ; and Party B Name: , Entity Type: , Address: .

RECITALS

WHEREAS, Party A possesses certain rights, obligations, instruments, policies, or agreements described in Annex A attached to this Act and incorporated herein by reference (the "Subject Matter"); and

WHEREAS, Party B has reviewed the Subject Matter and desires to give formal, irrevocable acceptance of specified terms, obligations and liabilities as set forth in this Act, subject to the conditions and limitations below; and

WHEREAS, the parties intend by this Act to record and effectuate a binding acceptance of the enumerated terms and obligations for the mutual consideration set forth herein.

NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:

1. DEFINITIONS

For purposes of this Act, the following terms shall have the meanings set forth below. "Acceptance Period" means the period commencing on the Effective Date and continuing until the acceptance obligations stated in Section 3 have been satisfied. "Accepted Obligations" means those obligations, duties, liabilities and rights specifically described in the Acceptance Schedule provided by Party B in the Acceptance Schedule field below.

2. ACCEPTANCE

2.1 Binding Acceptance. Party B hereby accepts and assumes the Accepted Obligations identified in the Acceptance Schedule, subject to the conditions, limitations and qualifications expressly set forth in this Act. Such acceptance shall be binding on Party B and, to the extent permitted by law and contract, on Party B's successors and permitted assigns.

2.2 Limitations. The acceptance given under Section 2.1 does not enlarge the scope of any indemnity or warranty beyond that which is expressly assumed in the Acceptance Schedule, and shall apply only to the obligations expressly listed therein.

3. EFFECTIVE DATE AND CONSIDERATION

3.1 Effective Date. The Effective Date of this Act is the date set forth at the beginning of this Act. Notwithstanding anything to the contrary, certain obligations accepted pursuant to Section 2 shall take effect only upon satisfaction of the conditions precedent set forth in Section 4.

4. CONDITIONS PRECEDENT

4.1 Conditions. The obligations accepted by Party B under this Act shall be effective only upon the occurrence of each of the following conditions precedent: (a) Party B's delivery to Party A of an executed counterpart of this Act; (b) delivery of any instruments or certificates required by the Acceptance Schedule; and (c) no material breach of representations and warranties as set forth in Section 6.

5. REPRESENTATIONS AND WARRANTIES

Each party represents and warrants to the other that: (a) it is duly organized, validly existing, and in good standing under the laws of its jurisdiction of organization; (b) it has full power and authority to enter into and perform its obligations under this Act; and (c) the execution and delivery of this Act and the performance hereunder have been duly authorized by all necessary corporate or other organizational action.

6. COVENANTS

6.1 Each party covenants to perform, and to cause its affiliates and permitted successors to perform, all actions reasonably necessary to effectuate the intent and terms of this Act, including providing documentation, executing further instruments, and cooperating in good faith.

7. NOTICES

All notices or communications required or permitted under this Act shall be in writing and delivered to the addresses stated below (or to such other address as either party may designate by notice in accordance with this Section). Notice shall be deemed given when delivered in person, one business day after deposit with an overnight courier, or three business days after deposit in certified mail, return receipt requested.

8. AMENDMENT, WAIVER AND COUNTERPARTS

8.1 Amendment. No amendment, modification or waiver of any provision of this Act shall be effective unless in writing and signed by both parties.

8.2 Waiver. No failure or delay by either party in exercising any right shall operate as a waiver of such right, nor shall any single or partial exercise preclude any other or further exercise.

8.3 Counterparts. This Act may be executed in counterparts, each of which shall be an original, but all of which together shall constitute one and the same instrument. Signatures transmitted by electronic means shall be valid and binding to the same extent as original signatures.

9. GOVERNING LAW; SEVERABILITY; ENTIRE AGREEMENT

9.1 Governing Law. This Act shall be governed by and construed in accordance with the laws of the jurisdiction specified below without regard to choice-of-law principles.

9.2 Severability. If any provision of this Act is held invalid or unenforceable by a court of competent jurisdiction, the remainder of this Act shall remain in full force and effect and the invalid provision shall be replaced by a valid provision that most closely approximates the intent of the original provision.

9.3 Entire Agreement. This Act, together with any schedules or annexes referenced herein, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, whether written or oral.

10. INDEMNIFICATION

To the extent accepted in the Acceptance Schedule, each party shall indemnify and hold harmless the other party from and against any and all losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of any breach of the representations, warranties or covenants made by the indemnifying party in this Act, subject to any limitations expressly set forth in the Acceptance Schedule.

11. MISCELLANEOUS

The headings in this Act are for convenience only and shall not affect the interpretation of this Act. Any provision requiring the consent or approval of a party shall mean the prior written consent or approval of such party.
