RECITALS

1. GRANT OF AUTHORITY

Grantor hereby appoints and authorizes Grantee to access, inspect, obtain copies of, and receive information from Grantor's legal records, files, and related materials solely as specified in this Authority. This appointment is limited, non-exclusive, and revocable as provided in Section 3. Grantee is authorized to act only within the scope expressly selected below:

2. TERM AND TERMINATION

This Authority commences on the effective date set forth above and shall continue in effect until: , ; or until earlier revoked in writing by Grantor in accordance with Section 3.

3. REVOCATION AND PROCEDURES

Grantor may revoke this Authority at any time by delivering written notice of revocation to Grantee and to any custodian from whom access was obtained. Revocation shall be effective upon receipt by the recipient. Revocation does not affect actions taken by third-party custodians who reasonably rely on this Authority prior to receipt of revocation.

Notices of revocation and other communications shall be delivered to the notice addresses provided in Section 9.

4. IDENTIFICATION, CREDENTIALS, AND CUSTODIAN RELIANCE

Grantee shall present valid government-issued identification and any credentials requested by a custodian to obtain access. A custodian or third party may rely on a printed or electronic copy of this Authority and shall be entitled to act in reliance on the representations herein without further inquiry. Grantor agrees to indemnify and hold harmless any custodian that, in good faith, relies on this Authority.

5. CONFIDENTIALITY AND DATA PROTECTION

6. LIMITATIONS AND PROHIBITED ACTS

Nothing in this Authority permits Grantee to: (a) waive attorney-client privilege or other protections on behalf of Grantor except pursuant to a separate writing; (b) change, alter, or destroy original records except to obtain authorized copies; or (c) transfer or disclose confidential information except as required by law or permitted in writing by Grantor.

7. REPRESENTATIONS AND WARRANTIES

Each party represents and warrants that it has the full power and authority to enter into this Authority, and that the individual executing on behalf of a party is authorized to bind that party. Grantee warrants that Grantee will act in good faith and in accordance with applicable law and professional obligations.

8. INDEMNIFICATION

Grantee shall indemnify, defend, and hold harmless Grantor from and against any claims, liabilities, damages, losses, or expenses (including reasonable attorneys' fees) arising out of Grantee's breach of this Authority or negligent or willful acts or omissions in connection with the exercise of the authority granted herein.

This Authority may be amended only by a written instrument signed by both parties. No waiver of any provision shall be effective unless in writing and signed by the party against whom enforcement is sought.
