RECITALS

The Authorized Recipient shall maintain all Legal Records in confidence, protect them with safeguards at least as strict as those it uses to protect its own confidential information, and shall not disclose, distribute, publish, or exploit any portion of the Legal Records except as expressly permitted by this Consent or required by law. The Authorized Recipient shall not disclose privileged attorney-client communications, work product, or other material shielded from disclosure unless expressly waived in writing by the Principal.

7. DATA SECURITY AND HANDLING

The Authorized Recipient shall implement and maintain reasonable administrative, technical, and physical safeguards designed to protect the confidentiality and integrity of electronic and physical Legal Records against unauthorized access, disclosure, alteration, or destruction. In the event of any unauthorized disclosure or breach affecting the Legal Records, the Authorized Recipient shall promptly notify the Principal and shall cooperate in remediation and mitigation efforts.

8. REVOCATION

Principal may revoke this Consent at any time by providing written notice to the Authorized Recipient at the Notice Address set forth in Section 11. Revocation is effective upon receipt; however, revocation shall not affect the Authorized Recipient's obligations with respect to Legal Records already obtained prior to revocation.

9. LIABILITY AND INDEMNITY

The Authorized Recipient shall indemnify, defend, and hold harmless the Principal and the Principal's agents and counsel from and against any claims, liabilities, losses, damages, costs, and expenses (including reasonable attorneys' fees) directly resulting from the Authorized Recipient's breach of this Consent, negligent handling of the Legal Records, or unauthorized disclosure. Nothing in this section limits any other remedies available at law or in equity.

10. THIRD-PARTY DISCLOSURE

The Authorized Recipient shall not disclose Legal Records to any third party except (a) counsel, experts, or agents retained to assist in the authorized purpose and who agree in writing to abide by confidentiality obligations at least as protective as this Consent, or (b) as compelled by valid legal process, provided the Authorized Recipient uses reasonable efforts to provide advance notice to the Principal where permitted by law.

No amendment, modification, or waiver of any provision of this Consent shall be effective unless in writing and signed by both parties. Except as expressly provided herein, no failure or delay by either party in exercising any right shall operate as a waiver of that right.
