RECITALS

WHEREAS, Providing Party holds custody, control, or authority over certain legal documents, records, materials, and electronically stored information that are relevant to matters for which Requesting Party seeks access; and

1. GRANT OF ACCESS

1.1 Grant. Subject to the terms of this Form, Providing Party hereby grants Requesting Party non-exclusive, revocable access to the categories of materials identified in the scope section below solely for the Permitted Purpose defined herein. The access granted is limited to the time, place, and manner expressly authorized by Providing Party.

2.1 Scope. The materials subject to access are limited to the categories and date ranges expressly listed below. Requesting Party shall not access or review materials outside the designated categories without prior written consent of Providing Party.

3.1 Notice. Requesting Party shall provide advance written notice to Providing Party not less than business days prior to the requested access date, together with a list of authorized individuals who will attend.

3.2 Supervision; Inspection. Physical access, if granted, will be supervised by an authorized representative of Providing Party. Electronic access may be logged and monitored. Requesting Party shall comply with all security and onsite rules established by Providing Party.

4. CONFIDENTIALITY

4.1 Duty of Confidentiality. Requesting Party acknowledges that materials may contain confidential, privileged, or attorney work-product information. Requesting Party shall maintain all accessed materials in strict confidence and shall not disclose such materials except as required by law or court order, and then only after providing prompt notice to Providing Party to permit an opportunity to seek protective relief.

4.2 Return or Destruction. Upon expiration or earlier termination of access, Requesting Party shall return or certify destruction of all materials and copies, including electronic copies, within days, unless a longer retention period is required by court order.

5. USE RESTRICTIONS

5.1 Permitted Purpose. Materials may be used solely for the Permitted Purpose: . Any use outside the Permitted Purpose is prohibited.

5.2 Prohibited Actions. Requesting Party shall not copy, remove, alter, or disseminate materials except as expressly permitted. Chain-of-custody procedures must be observed for any reproductions or extracts.

7.1 Access Log. Providing Party shall maintain contemporaneous access logs. Requesting Party may be required to sign log entries and acknowledge the entry and return of physical materials.

8. INDEMNIFICATION

8.1 Indemnity. Requesting Party shall indemnify, defend and hold harmless Providing Party and its officers, directors and employees from and against any and all claims, liabilities, costs and expenses (including reasonable attorneys' fees) arising out of Requesting Party's breach of this Form, unauthorized disclosure, misuse of materials, or negligent acts in connection with access.

9. TERM AND TERMINATION

9.1 Term. This Form will commence on the effective date and continue until unless earlier terminated in accordance with this Section.

9.2 Termination for Convenience or Cause. Either party may terminate access for material breach following written notice and a reasonable opportunity to cure. Providing Party may suspend or terminate access immediately if required to protect privileged materials or comply with law.

10. NOTICES

10.1 Notices shall be in writing and delivered to the addresses set forth below or to such other address as a party designates in writing in accordance with this provision. Notice is effective upon receipt.

11. AMENDMENTS

Any amendment or modification to this Form must be in writing and signed by authorized representatives of both parties. No course of conduct or failure to insist on strict performance will constitute a waiver of these requirements.

12. WAIVER

The failure of either party to enforce any provision of this Form shall not constitute a waiver of future enforcement of that or any other provision.

13. COUNTERPARTS

This Form may be executed in counterparts, each of which shall be deemed an original, and all of which together shall constitute one and the same instrument. Signatures transmitted by electronic means shall be binding.

14. GOVERNING LAW

This Form shall be governed by and construed in accordance with the laws of the state of without regard to its conflict of laws principles.

15. ENTIRE AGREEMENT
