LEGAL ACCOUNT ACCESS FORM

This Legal Account Access Form (the "Form") is entered into as of Day Month Year , by and between Account Holder: (the "Account Holder") and Authorized Representative: (the "Authorized Representative"). The Account Holder and the Authorized Representative may be referred to individually as a "Party" and collectively as the "Parties."

RECITALS

WHEREAS, the Account Holder maintains one or more accounts, files or records identified as Account Identifier: (the "Account"), which contain confidential client information and other sensitive materials; and

WHEREAS, the Account Holder desires to authorize the Authorized Representative to access, view and, where indicated below, perform specified actions with respect to the Account in accordance with the terms of this Form; and

WHEREAS, the Authorized Representative is willing to accept such access subject to the terms, restrictions and obligations set forth herein.

NOW, THEREFORE

In consideration of the mutual covenants set forth in this Form and other good and valuable consideration, the Parties agree as follows:

1. GRANT OF ACCESS

1.1 Grant. Subject to the terms and conditions of this Form, the Account Holder hereby grants the Authorized Representative the following access to the Account:

2.1 Purpose. Access is granted solely for the purpose of:

The Authorized Representative shall not, without the prior written consent of the Account Holder, (a) delegate access to third parties; (b) close, transfer or assign the Account except as expressly authorized in writing; or (c) use access for any purpose other than the Purpose set forth above.

3. CREDENTIALS, SECURITY AND MFA

3.1 Credentials. The Authorized Representative will be assigned the following credentials: Username and Primary Email . The Account Holder may at any time require replacement of credentials for security reasons.

3.2 Security Requirements. The Authorized Representative shall comply with the Account Holder's security protocols, including but not limited to use of multi-factor authentication, protection of credentials, timely reporting of suspected compromise, and compliance with password complexity standards communicated to the Authorized Representative in writing.

4. CONFIDENTIALITY

4.1 Non-Disclosure Obligations. The Authorized Representative shall hold in strict confidence all non-public information obtained through access to the Account and shall not disclose such information to any third party except as required by law or with the Account Holder's prior written consent. The Authorized Representative shall implement administrative, technical and physical safeguards to protect such information from unauthorized use or disclosure.

4.2 Return or Destruction. Upon termination or expiration of this Form, the Authorized Representative shall promptly return or destroy all copies of confidential information obtained from the Account, and certify in writing to the Account Holder that such return or destruction has occurred.

5. AUDIT, MONITORING AND RECORDS

5.1 Audit Rights. The Account Holder reserves the right to monitor, audit and record access to the Account for compliance, security and investigative purposes. The Authorized Representative consents to such monitoring and will not have an expectation of privacy with respect to actions taken under the granted access.

5.2 Recordkeeping. The Authorized Representative shall maintain contemporaneous records of transactions and activities performed under this Form for a period of at least three (3) years, and shall produce such records to the Account Holder upon reasonable request.

6. TERM AND TERMINATION

6.1 Term. Access commences on Start Date and, unless earlier terminated in accordance with this Form, expires on End Date .

6.2 Termination for Cause. Either Party may terminate this Form immediately upon written notice to the other Party for material breach, unauthorized disclosure of confidential information, or suspected compromise of account credentials.

7. REPRESENTATIONS, WARRANTIES AND COVENANTS

7.1 Each Party represents and warrants that it has full authority to enter into this Form and to perform its obligations hereunder. The Authorized Representative further represents that no provision of any other agreement or fiduciary duty prevents acceptance of the access granted by this Form.

7.2 The Authorized Representative covenants to act in good faith, exercise reasonable care in use of access, and promptly notify the Account Holder of any request, demand or legal process affecting the Account or information contained therein.

8. INDEMNITY AND LIMITATION OF LIABILITY

8.1 Indemnity. The Authorized Representative agrees to indemnify, defend and hold harmless the Account Holder and its affiliates, officers and employees from and against any and all claims, liabilities, losses, costs and expenses (including reasonable attorneys' fees) arising out of or relating to the Authorized Representative's breach of this Form, negligent or willful misconduct, or unauthorized disclosures.

8.2 Limitation of Liability. Except for liability arising from gross negligence, willful misconduct or breaches of confidentiality, neither Party shall be liable to the other for consequential, incidental, special or punitive damages.

9. NOTICES

9.1 Notices. All notices required or permitted under this Form shall be in writing and shall be delivered to the addresses set forth below or such other address as either Party may designate in writing.

10. GOVERNING LAW

This Form shall be governed by and construed in accordance with the laws of the State of , without regard to conflict of laws principles.

11. ENTIRE AGREEMENT; SEVERABILITY; AMENDMENTS; WAIVER; COUNTERPARTS

11.1 Entire Agreement. This Form contains the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, whether oral or written.

11.2 Severability. If any provision of this Form is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

11.3 Amendments. No amendment or modification of this Form shall be effective unless in writing and signed by both Parties.

11.4 Waiver. No waiver shall be effective unless in writing signed by the Party granting the waiver. A waiver of any breach shall not constitute a waiver of any subsequent breach.

11.5 Counterparts. This Form may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one and the same instrument.
