LEGAL ACCOUNT APPLICATION

This Legal Account Application (the "Application") is made and entered into on this day by and between Client Name: (the "Client") and Legal Service Provider Name: (the "Provider"). The Client applies for establishment of an account for legal services subject to the terms and conditions set forth herein.

RECITALS

WHEREAS, the Client desires to open an account with the Provider to receive legal services and to authorize the Provider to render such services and bill the Client in accordance with the Provider's standard billing practices;

WHEREAS, the Provider is willing to accept the Client as an account holder provided the Client furnishes accurate information, agrees to the Provider's account terms, and executes this Application;

WHEREAS, the parties intend that the Application will establish the account relationship, set forth representations and authorizations, and define payment, retainer, and notice procedures.

NOW THEREFORE, in consideration of the mutual covenants and agreements contained herein, and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:

4.1 Billing and Payment. The Provider will render periodic invoices for services and disbursements. Unless otherwise agreed in writing, invoices are due and payable within days of the invoice date. Late payments shall accrue interest at a rate of or the maximum allowed by law, whichever is less.

4.2 Retainer. The Provider may require an initial retainer in the amount of to be deposited into the Provider's client trust account. Retainer handling, application to fees, and replenishment shall be governed by the Provider's trust account procedures and applicable professional rules.

5. REPRESENTATIONS AND WARRANTIES

The Client represents and warrants that the information provided in this Application is true, complete, and correct; that the person executing this Application on behalf of the Client is authorized to do so; and that the Client will notify the Provider promptly in writing of any material change to the information provided.

6. CREDIT AUTHORIZATION

The Client hereby authorizes the Provider to obtain credit information, perform background checks, and verify the Client's creditworthiness and identity as reasonably necessary to evaluate and maintain the account. The Client agrees to provide supplemental documentation upon request.

7. CONFIDENTIALITY

The Provider agrees to maintain the confidentiality of information received from the Client to the extent required by law and applicable professional obligations. Confidentiality does not extend to information that is publicly known, independently developed, or required to be disclosed by law or court order.

8. COMPLIANCE WITH LAWS

The Client certifies that it will not use the Provider's services for any purpose in violation of law, including statutes governing anti-money laundering, sanctions, or other prohibitions. The Provider reserves the right to decline or terminate representation if the Provider believes continuation would violate applicable law or professional obligations.

9. NOTICES

All notices required or permitted under this Application shall be in writing and delivered to the addresses set forth in this Application or to such other address as either party may designate by notice. Notices shall be effective upon delivery when delivered personally or by confirmed electronic transmission, or three days after deposit in the United States mail, postage prepaid, certified or registered.

10. TERMINATION

Either party may terminate the account relationship upon written notice to the other. Termination does not relieve the Client of its obligation to pay for services rendered and expenses incurred prior to termination, and any outstanding invoices shall remain due and payable.

11. MISCELLANEOUS

11.1 Governing Law. This Application and any dispute arising out of it shall be governed by and construed in accordance with the laws of the state of , without regard to conflict of law principles.

11.2 Entire Agreement. This Application, together with any separate engagement letter executed by the parties, constitutes the entire agreement between the parties concerning the subject matter hereof and supersedes all prior oral or written statements and understandings.

11.3 Severability. If any provision of this Application is held to be invalid or unenforceable, such provision shall be construed or severed to the minimum extent necessary to make it valid and enforceable, and the remaining provisions shall remain in full force and effect.

11.4 Amendments and Waiver. No amendment to this Application shall be effective unless in writing and signed by both parties. No waiver of any breach shall constitute a waiver of any other breach.

11.5 Counterparts. This Application may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one instrument. Electronic or facsimile signatures shall be binding.

By signing below, the Client certifies under penalty of perjury that the information provided in this Application is true, accurate, and complete. The Client authorizes the Provider to rely upon these representations and to take actions consistent with this Application, including obtaining credit, regulatory, and identity verifications. The Client further authorizes debits to any authorized payment method for fees and costs as billed.

BANK AUTHORIZATION (Optional)

If the Client elects to authorize electronic payments from a bank account, the Client authorizes the Provider to initiate debits and, if necessary, credits to correct erroneous debits. The Client acknowledges that it is responsible for providing accurate banking information and for notifying the Provider of changes in that information.
