4. CONFIDENTIALITY

4.1 To the extent any exchanged materials are designated as confidential or would reasonably be understood to be confidential, the receiving party shall hold such materials in confidence and use them only for the Purpose described in Section 2. Notwithstanding the foregoing, confidentiality obligations shall not apply to information which: (a) is or becomes publicly available through no breach hereof; (b) was lawfully in the receiving party’s possession prior to disclosure; or (c) is rightfully received by the receiving party from a third party without restriction.

5. NO ADMISSION

5.1 This Agreement and any statements made herein are not and shall not be construed as an admission of liability, wrongdoing, or fault by any party, and shall not be used as evidence of liability in any proceeding, except as expressly agreed in writing.

6. REMEDIES

6.1 Each party acknowledges that monetary damages may be inadequate to remedy a breach of the confidentiality or acknowledgment obligations under this Agreement and that the non-breaching party shall be entitled to seek injunctive relief and specific performance, in addition to any other remedies at law or in equity.

7. INDEMNIFICATION

7.1 Each party shall indemnify, defend and hold harmless the other party from and against any and all claims, liabilities, losses, damages, costs and expenses (including reasonable attorneys' fees) arising out of or resulting from any breach of its representations, warranties or obligations under this Agreement.

8. NOTICES

8.1 All notices or communications required or permitted under this Agreement shall be in writing and delivered to the address set forth below or such other address as a party may designate by notice. Notices shall be deemed given when delivered personally, sent by certified mail (return receipt requested), or by nationally recognized overnight courier.

9. AMENDMENTS, WAIVER AND COUNTERPARTS
