This Legal Acknowledgment Form (the "Acknowledgment") is made and entered into as of the day of , by and between Party A: whose principal address is , and Party B: whose principal address is .

RECITALS

WHEREAS, Party A has disclosed or will disclose certain documents, information, materials and other data, whether written, electronic or oral (collectively, the "Information"), to Party B in connection with matters described in this Acknowledgment; and

WHEREAS, the parties desire to set forth their respective acknowledgments, covenants and obligations regarding the receipt, handling and use of such Information, and to allocate certain risks relating thereto; and

WHEREAS, the parties intend that this Acknowledgment shall be a binding contractual instrument enforceable by the parties and their permitted successors and assigns.

NOW, THEREFORE, in consideration of the mutual covenants and promises contained herein and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:

1. DEFINITIONS

For purposes of this Acknowledgment, "Permitted Purpose" means the specific purpose set forth by the disclosing party and recorded in the Description of Information field below. "Confidential Information" means Information that is designated as confidential or that reasonably should be understood to be confidential given its nature and the circumstances of disclosure.

2. ACKNOWLEDGMENT OF RECEIPT

Party B acknowledges receipt of the Information described below and confirms that Party B has had the opportunity to review such Information and to ask questions regarding its nature and content.

3. REPRESENTATIONS AND WARRANTIES

Each party represents and warrants that it has the full power and authority to enter into and perform this Acknowledgment, that the execution and performance of this Acknowledgment has been duly authorized by all necessary corporate or other action, and that this Acknowledgment constitutes a legal, valid and binding obligation of such party enforceable in accordance with its terms.

Party B further represents that to the best of its knowledge the Information will be used solely for the Permitted Purpose and will not be copied, distributed, disclosed or used for any other commercial or competitive purpose except as permitted in writing by Party A.

4. CONFIDENTIALITY AND USE RESTRICTIONS

Party B shall maintain the Information in strict confidence and shall exercise at least the same degree of care in protecting the Information as it uses to protect its own confidential information, but in no event less than reasonable care. Party B shall not disclose the Information to any third party except to those employees, agents, advisors or contractors who have a documented need to know for the Permitted Purpose and who are bound by confidentiality obligations at least as protective as those contained herein.

The obligations of confidentiality shall continue for a period of three (3) years from the date of disclosure, except with respect to trade secrets which shall remain confidential for as long as they qualify as trade secrets under applicable law.

5. LIMITATION OF LIABILITY; NO ADMISSION

Receipt of the Information does not constitute a representation or warranty by Party A as to the accuracy or completeness of the Information. Party A shall have no liability for any use or reliance by Party B on the Information except to the extent such liability arises from Party A's intentional misconduct or gross negligence. Nothing in this Acknowledgment shall be construed as an admission of liability or fault by any party for any purpose.

6. INDEMNIFICATION

Each party shall indemnify, defend and hold harmless the other party and its officers, directors, employees and agents from and against any and all losses, claims, liabilities and expenses (including reasonable attorneys' fees) arising out of or resulting from a breach of such party's representations, warranties or obligations under this Acknowledgment.

7. NOTICES

All notices, requests, consents and other communications required or permitted under this Acknowledgment shall be in writing and shall be delivered to the addresses set forth below or to such other address as either party may designate by written notice to the other in accordance with this Section.

8. AMENDMENTS; WAIVER

No amendment, modification or waiver of any provision of this Acknowledgment shall be effective unless in writing and signed by authorized representatives of both parties. No waiver by either party of any breach shall operate or be construed as a waiver of any other or subsequent breach.

9. GOVERNING LAW

This Acknowledgment shall be governed by and construed in accordance with the laws of the jurisdiction specified below without regard to principles of conflicts of law.

10. ENTIRE AGREEMENT

This Acknowledgment constitutes the entire agreement between the parties relating to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written, between the parties concerning such subject matter.

11. SEVERABILITY

If any provision of this Acknowledgment is held to be invalid, illegal or unenforceable in any respect, the validity, legality and enforceability of the remaining provisions shall not be affected or impaired thereby, and the parties shall endeavor to replace the invalid, illegal or unenforceable provision with a valid provision that accomplishes, to the extent possible, the original intent of the parties.

12. COUNTERPARTS

This Acknowledgment may be executed in counterparts, each of which shall be deemed an original, and all of which together shall constitute one and the same instrument. Signatures transmitted by electronic means shall be deemed originals for all purposes.

13. CERTIFICATION

By signing below, each party certifies that the individual signing on its behalf is duly authorized to bind that party to the terms of this Acknowledgment, that the statements made herein are true and correct to the best of such individual's knowledge, and that the party will comply with the obligations set forth herein.
