4. CONFIDENTIALITY

5. REPRESENTATIONS AND AUTHORITY

Each Party represents and warrants that: (a) it has the full corporate or individual power and authority to execute and deliver this Letter and to perform its obligations hereunder; (b) the person signing on behalf of any Party is duly authorized to bind that Party; and (c) this Letter constitutes a valid and binding obligation enforceable in accordance with its terms.

6. NOTICES

All notices, requests, consents, claims, demands, waivers and other communications hereunder shall be in writing and shall be delivered to the Parties at the addresses set forth below or to such other address as a Party may designate by written notice in accordance with this Section.

7. NO WAIVER; AMENDMENT

No failure or delay by any Party in exercising any right, power, or remedy under this Letter shall operate as a waiver thereof. No amendment, modification or waiver of any provision of this Letter shall be effective unless in writing and signed by both Parties.

8. GOVERNING LAW

This Letter shall be governed by and construed in accordance with the laws of the jurisdiction specified below, without regard to its conflict of laws rules.

9. ENTIRE AGREEMENT

This Letter constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written, between the Parties relating to such subject matter.

10. SEVERABILITY

If any provision of this Letter is held to be invalid, illegal or unenforceable in any respect, the validity, legality and enforceability of the remaining provisions shall not in any way be affected or impaired thereby.

11. COUNTERPARTS

This Letter may be executed in counterparts, each of which shall be deemed an original, and all of which together shall constitute one and the same instrument. Delivery of an executed counterpart by electronic transmission shall be effective as delivery of an original.

12. MISCELLANEOUS
