LEGAL ACT FORM

This Legal Act Form (the "Agreement") is made as of Effective Date: by and between Principal Name: (the "Principal") and Agent Name: (the "Agent").

RECITALS

WHEREAS, the Principal is authorized and duly empowered to effectuate the actions described herein and desires to delegate certain authority to the Agent to carry out specific legal acts on behalf of the Principal; and

WHEREAS, the Agent has represented that the Agent has the requisite capacity, experience and authority to perform the authorized acts and is willing to accept such delegation on the terms and subject to the conditions set forth in this Agreement; and

NOW, THEREFORE, in consideration of the mutual covenants and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:

1. AUTHORITY AND SCOPE

1.1 Grant of Authority. Subject to the terms and conditions of this Agreement, the Principal hereby irrevocably (except as limited below) appoints the Agent to perform the legal act described as:

3. TERM AND TERMINATION

3.1 Effective Period. This Agreement shall commence on Effective Date and shall remain in force until Termination Date: unless earlier revoked in accordance with Section 3.2.

3.2 Revocation. The Principal may revoke the authority granted hereunder at any time by providing written notice to the Agent in accordance with the Notices section of this Agreement. Revocation shall not affect actions taken by the Agent in good faith prior to receipt of such notice.

4. CONSIDERATION

As consideration for the authority granted herein, the parties acknowledge receipt of good and valuable consideration. If monetary compensation is payable to the Agent, specify amount and payment terms:

Each party represents and warrants that: (a) it has full power and authority to enter into and perform this Agreement; (b) this Agreement constitutes a valid and binding obligation enforceable against it in accordance with its terms; and (c) the execution and performance of this Agreement will not violate any law or agreement applicable to such party.

6. INDEMNIFICATION

The Agent agrees to indemnify, defend and hold harmless the Principal from and against any and all claims, liabilities, losses, damages, costs and expenses (including reasonable attorneys' fees) arising out of the Agent's gross negligence, willful misconduct or material breach of this Agreement. The Principal agrees to indemnify the Agent for acts taken in good faith in accordance with this Agreement.

7. CONFIDENTIALITY

The Agent shall keep confidential all non-public information obtained from the Principal in connection with the performance of the authorized acts and shall not disclose such information except as required by law or with the Principal's prior written consent.

8. NOTICES

All notices, requests, consents and other communications required or permitted under this Agreement shall be in writing and delivered to the addresses set forth below. Notice shall be deemed given when delivered in person, by nationally recognized overnight courier, or three (3) business days after deposit in the United States mail, postage prepaid, certified or registered mail, return receipt requested.

9. MISCELLANEOUS

9.1 Governing Law. This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to conflict of laws principles.

9.2 Entire Agreement. This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings and representations, whether oral or written.

9.3 Severability. If any provision of this Agreement is held to be invalid, illegal or unenforceable in any respect, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, such provision shall be severed and the remaining provisions shall remain in full force and effect.

9.4 Amendments and Waiver. No amendment, modification or waiver of any provision of this Agreement shall be effective unless in writing and signed by both parties. No failure or delay by either party to exercise any right under this Agreement shall operate as a waiver of that right.

9.5 Counterparts. This Agreement may be executed in counterparts, each of which shall be deemed an original, and all of which together shall constitute one and the same instrument.
