LEGAL ACT OF ACCEPTANCE

This Legal Act of Acceptance is entered into on this day by and between Provider Name: , with principal address (hereinafter referred to as "Provider"), and Recipient Name: , with principal address (hereinafter referred to as "Recipient"). Effective Date: .

RECITALS

WHEREAS, Provider has delivered or will deliver certain goods, services, software, works of authorship, and related documentation described in Schedule A (the "Deliverables") to Recipient in accordance with the terms of the parties' underlying agreement; and

WHEREAS, Recipient requires formal acceptance of the Deliverables following inspection and testing to establish that such Deliverables materially conform to the agreed specifications, acceptance criteria, and performance requirements; and

WHEREAS, the parties intend by this Act to set forth the procedures, criteria, and legal effect of acceptance or rejection of the Deliverables.

NOW THEREFORE, in consideration of the mutual covenants and promises contained herein, the parties agree as follows:

1. DEFINITIONS

For purposes of this Act, the following definitions apply: "Deliverables" means the goods, services, or work product described in Schedule A; "Acceptance Criteria" means the objective standards and tests set forth in Section 3; "Acceptance Certificate" means the written instrument executed by authorized representatives of Recipient and Provider confirming acceptance in accordance with Section 4.

2. SCOPE OF ACCEPTANCE

Provider warrants that the Deliverables shall materially conform to the specification identified as Specification Reference: . Recipient shall perform inspection and testing as set forth in Section 3 and shall not unreasonably withhold acceptance once the Acceptance Criteria are satisfied.

3. INSPECTION AND TESTING

Upon delivery, Recipient shall have an inspection period of days to perform reasonable inspection and testing to verify conformance to the Acceptance Criteria. Acceptance testing to be conducted shall include the tests described below and any mutually agreed additional tests.

4. ACCEPTANCE CERTIFICATE

If the Deliverables pass the Acceptance Criteria, Recipient shall execute an Acceptance Certificate referencing Acceptance Certificate No. , which shall state whether acceptance is complete or conditional. Execution of an Acceptance Certificate shall constitute conclusive evidence of acceptance for purposes of payment, transfer of title, and termination of Provider's obligation to correct the accepted Deliverables, except as expressly reserved in this Act.

5. NON-CONFORMITY AND REMEDIES

If Deliverables fail to meet Acceptance Criteria, Recipient shall notify Provider in writing specifying the non-conformities. Provider shall have a cure period of days from receipt of the notice to remedy such non-conformities at Provider's expense. If Provider does not timely cure, Recipient may, at its option, (a) reject the Deliverables and require replacement or re-performance, (b) accept the Deliverables at a reduction in price reasonably related to the non-conformity, or (c) procure substitute performance and seek recovery of reasonable costs from Provider.

6. TRANSFER OF TITLE AND RISK

Title to the Deliverables shall transfer to Recipient upon issuance of the Acceptance Certificate or, if acceptance is conditional, upon final cure and issuance of a final Acceptance Certificate. Risk of loss shall pass to Recipient upon delivery to Recipient's facility unless otherwise expressly agreed in writing.

7. PAYMENT

Final payment, if any, shall become due within days after Recipient's issuance of an Acceptance Certificate covering the Deliverables and receipt of a proper invoice. Final payment shall not waive Recipient's rights for latent defects or fraudulent misrepresentations.

8. REPRESENTATIONS AND WARRANTIES

Provider represents and warrants that (a) it has the full power and authority to deliver the Deliverables and grant the rights provided herein; (b) the Deliverables are free of material defects and conform to the Acceptance Criteria; and (c) delivery and use of the Deliverables do not infringe any third-party intellectual property rights. These warranties survive acceptance to the extent permitted by applicable law and subject to limitations in the underlying agreement.

9. CONFIDENTIALITY

Each party shall maintain in confidence any non-public information received in connection with the Deliverables and shall use such information only for purposes of inspection, acceptance, and performance of obligations under this Act, in accordance with any confidentiality obligations in the underlying agreement.

10. NOTICES

All notices required or permitted under this Act shall be in writing and delivered to the parties' notice addresses set forth below. Notices shall be deemed given upon receipt if delivered by hand or electronic means with confirmation, or three (3) days after deposit in the mail if sent by certified mail, return receipt requested.

11. GOVERNING LAW; DISPUTE RESOLUTION

This Act shall be governed by and construed in accordance with the laws of the jurisdiction of , without regard to conflict of laws principles. Any dispute arising from this Act shall be resolved in accordance with the dispute resolution procedure set forth in the underlying agreement or, absent such procedure, by the courts of the jurisdiction identified above.

12. ENTIRE AGREEMENT; AMENDMENT; SEVERABILITY; WAIVER

This Act, together with the underlying agreement and any documents expressly incorporated herein, constitutes the entire agreement between the parties relating to acceptance of the Deliverables and supersedes all prior discussions and agreements on that subject. This Act may be amended only by a writing signed by authorized representatives of both parties. Failure to enforce any provision shall not constitute a waiver of future enforcement. If any provision is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.

13. COUNTERPARTS

This Act may be executed in any number of counterparts, each of which shall be deemed an original and all of which together shall constitute one instrument. Signatures delivered by electronic means, including scanned copies, shall be effective to bind the signing party.
