RECITALS

WHEREAS, Responsible Entity owns, operates, or controls the facility described as Facility Name: , Facility Address: ; and

WHEREAS, Compliance Consultant represents that it has the professional qualifications, expertise, and experience to perform an accessibility survey, produce a written assessment, and prepare a remediation plan intended to address architectural and programmatic barriers in a manner consistent with applicable accessibility laws and regulations; and

WHEREAS, the parties desire to set forth their respective obligations and the procedures by which the facility's accessibility will be surveyed, documented, remediated, and certified.

NOW THEREFORE, in consideration of the mutual covenants contained herein, the parties agree as follows:

1. DEFINITIONS

1.1 "Assessment" means the on-site survey, measurements, photographic documentation, and written findings prepared by Compliance Consultant describing existing conditions and identifying barriers to access.

1.2 "Remediation Plan" means the written program of corrective measures prioritized by severity, estimated costs, responsible parties, and proposed completion schedule.

2. SCOPE OF ASSESSMENT

2.1 Consultant will perform an Assessment of the facility areas identified below. The Assessment shall include measurements, photographic documentation, and an analysis of compliance with applicable accessibility standards and program access obligations.







3. SITE VISIT AND SURVEY

3.1 Consultant shall coordinate scheduling with Responsible Entity for site access. Responsible Entity shall ensure safe, unfettered access to all areas reasonably necessary for the Assessment and shall provide keys, security clearance, and relevant building plans if available.

3.2 During each site visit, Consultant will record conditions and perform standard measurements. Consultant's observations are based on visible and reasonably accessible portions of the facility and do not include destructive testing or concealed elements unless expressly authorized in writing.

4. REMEDIATION PLAN; PRIORITIZATION; COST ESTIMATES

4.1 Consultant will prepare a Remediation Plan that identifies each non-compliant item, the corrective action required, the estimated time to complete, and a good-faith cost estimate. The Remediation Plan may categorize items as Minor, Major, or Structural and assign a priority ranking for implementation.

5. CERTIFICATION AND COMPLIANCE STATEMENT

5.1 Upon completion of the Remediation Plan items agreed to by Responsible Entity, Consultant shall prepare a written Certification of Completion stating those items corrected at the time of reinspection. Certification will be limited to the items specifically addressed and tested by Consultant and shall not constitute a warranty against future noncompliance or changes in law.


6. RECORDS RETENTION; REPORTING

6.1 Consultant will deliver a written Assessment and Remediation Plan within Days: from the final site visit. Responsible Entity shall retain records of repairs, invoices, permits, and progress reports for a minimum retention period of Years: after completion.

7. INDEMNIFICATION; LIMITATION OF LIABILITY

7.1 Responsible Entity shall indemnify, defend, and hold harmless Consultant from and against claims, liabilities, losses, and expenses arising from Responsible Entity's failure to implement or maintain remedial measures recommended in the Remediation Plan, except to the extent caused by Consultant's gross negligence or willful misconduct.

7.2 Consultant's total liability for breach of this Agreement, negligence, or any other cause of action shall be limited to the fees paid under this Agreement for the Assessment services giving rise to the claim; in no event shall Consultant be liable for incidental, special, or consequential damages.

9. CONFIDENTIALITY

9.1 Each party shall maintain in confidence non-public information disclosed by the other party in connection with the Assessment and shall not disclose such information except as required by law or to contractors and agents who have a need to know and who are bound to confidentiality.

10. NOTICES

10.1 All notices required or permitted under this Agreement shall be in writing and delivered to the party's address set forth above or to an alternative address provided in writing. Notices sent by mail shall be deemed received three business days after deposit with the postal service; notices delivered electronically shall be deemed received upon transmission.

11. GOVERNING LAW; ENTIRE AGREEMENT; SEVERABILITY

11.1 This Agreement shall be governed by and construed in accordance with the laws of State: , without regard to its conflict of laws principles.

11.2 This Agreement constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior agreements and understandings, whether written or oral.

11.3 If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect and the parties shall negotiate in good faith to replace the invalid provision with a valid provision achieving to the extent possible the original economic and legal intent.

12. AMENDMENTS; WAIVER; COUNTERPARTS

12.1 This Agreement may be amended only by a writing executed by both parties. No failure or delay by either party to exercise any right shall operate as a waiver of that right.

12.2 This Agreement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one instrument. Signatures transmitted electronically shall have the same effect as original signatures.

13. ACKNOWLEDGMENTS
