LEGAL ADDITIONAL PERSONS FORM

This Legal Additional Persons Form (the "Form") is made and entered into as of Effective Date: by and between Primary Party: (hereinafter "Primary Party"), and Counterparty: (hereinafter "Counterparty"). Primary Party and Counterparty are collectively referred to as the "Parties."

RECITALS

WHEREAS, the Parties are parties to a written agreement identified as: Agreement Title/Reference: dated (the "Agreement"); and

WHEREAS, the Parties wish to designate additional persons who are authorized to act on behalf of one or both Parties with respect to the Agreement, as described in this Form; and

WHEREAS, the Parties desire to set forth the scope, limitations and conditions of such authority, and to amend the Agreement to reflect the appointment of such additional persons as provided herein.

NOW, THEREFORE, in consideration of the mutual covenants and agreements set forth herein, and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Parties agree as follows:

1. DEFINITIONS

Terms used in this Form that are defined in the Agreement shall have the same meanings herein. For purposes of this Form, "Additional Person" means an individual or entity designated in Section 2 below to act with authority on behalf of a Party as specified in this Form.

3. AUTHORITY; LIMITATIONS

Each Additional Person listed in Section 2 is hereby authorized to perform only those acts expressly described in that person's Authorized Scope. Such authority shall not be construed to grant the Additional Person power to amend, modify, waive or terminate the Agreement, to incur indebtedness beyond that expressly set forth in the Authorized Scope, or to bind a Party in any manner not expressly specified herein, except to the extent a Party has separately granted broader authority in a written instrument signed by an authorized officer of such Party.

4. REPRESENTATIONS AND WARRANTIES

Each Party represents and warrants that: (a) it has full power and authority to execute and deliver this Form and to perform its obligations hereunder; (b) the execution, delivery and performance of this Form has been duly authorized by all necessary corporate or other organizational action; and (c) the persons designated herein possess the qualifications and are authorized to perform the acts set forth in Section 2 to the extent permitted by applicable law.

5. INDEMNIFICATION

Each Party (the "Indemnifying Party") shall indemnify, defend and hold harmless the other Party and its affiliates, officers, directors and employees (each an "Indemnified Party") from and against any and all claims, liabilities, damages, losses and expenses (including reasonable attorneys' fees) arising out of or resulting from: (a) any act or omission by an Additional Person beyond the scope of authority set forth in Section 2; or (b) any misrepresentation by the Indemnifying Party as to the authority of an Additional Person.

6. NOTICES

All notices, requests, consents, claims, demands, waivers and other communications hereunder shall be in writing and delivered to the Parties at the addresses set forth below (or to such other address as a Party may designate by notice in accordance with this Section).

7. AMENDMENTS; WAIVER

Except as expressly provided herein, no amendment, modification or waiver of any provision of this Form shall be effective unless in a written instrument signed by the Parties. No failure or delay by any Party in exercising any right under this Form shall operate as a waiver of that right.

8. GOVERNING LAW; VENUE

This Form shall be governed by and construed in accordance with the laws of the State of without regard to choice of law principles. The Parties submit to the exclusive jurisdiction of the courts located in the county in which the Primary Party's principal place of business is located for any dispute arising out of this Form.

9. ENTIRE AGREEMENT; SEVERABILITY

This Form, together with the Agreement, constitutes the entire understanding of the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, oral or written, relating to such subject matter. If any provision of this Form is held to be invalid, illegal or unenforceable in any respect, the remaining provisions shall remain in full force and effect and the Parties shall endeavor in good faith to replace the invalid provision with a valid provision that achieves, to the extent possible, the original economic intent.

10. COUNTERPARTS; EXECUTION

This Form may be executed in counterparts, each of which shall be deemed an original, and all of which together shall constitute one and the same instrument. Facsimile, electronic or scanned signatures shall be deemed to have the same force and effect as original signatures.
