RECITALS

WHEREAS, the Designating Party has an address at which it wishes to designate service of process, notices, invoices and other legal correspondence; and

WHEREAS, the Receiving Party is willing to accept service of process and receipt of notices at the address set forth below and to maintain records of such service in accordance with the terms of this Form; and

WHEREAS, the parties desire to set forth the legal address for service, the procedures for notice, and the responsibilities of each party with respect thereto.

NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein, the parties agree as follows:

1. DEFINITIONS

For purposes of this Form, the following terms shall have the meanings set forth below: "Legal Address" means the physical street address, and where provided, a designated attention line and postal mailing address, where service of process and formal notices may be delivered. "Service" means personal delivery, overnight courier, certified mail, or any other means agreed by the parties providing evidence of receipt.

2. DESIGNATION OF LEGAL ADDRESS

The Designating Party hereby designates the following address as its Legal Address for all purposes set forth in this Form. The Receiving Party accepts the designation and agrees to receive service and notices at that address until such time as a change is effected in accordance with Section 5.

3. AGENT FOR SERVICE

If the Designating Party appoints an agent for service of process, the agent's name and contact information shall be provided below. The Receiving Party's acceptance of the Legal Address constitutes acceptance of the agent named below for the purpose of this designation.

4. ACCEPTANCE AND AUTHORITY

The Receiving Party represents and warrants that it has the authority to accept service and notices at the designated Legal Address and will maintain reasonable procedures to receive, document, and forward all notices and service to the Designating Party in a timely manner. Acceptance shall not be unreasonably withheld or delayed.

5. CHANGE OF ADDRESS

The Designating Party may change its Legal Address by providing written notice to the Receiving Party in accordance with the notice provisions below. Such change shall be effective on the thirtieth (30th) calendar day following receipt of the notice by the Receiving Party, unless a different effective date is agreed in writing.

6. NOTICES

All notices required or permitted under this Form shall be given in writing and delivered by personal delivery, nationally recognized overnight courier, or certified mail (return receipt requested) to the addresses set forth in this Form. Notice shall be deemed received (a) on the date of delivery if delivered personally or by courier during normal business hours, (b) on the date of confirmed delivery if sent by certified mail, or (c) on any earlier date on which actual receipt is proven.

7. RECORDS AND CONFIRMATION

The Receiving Party shall maintain a written record of all service and notices received under this Form, including the date, time, method of service, and identity of the person effecting service. Upon reasonable request, the Receiving Party shall provide a copy of such records to the Designating Party.

8. REPRESENTATIONS AND WARRANTIES; LIMITATION OF LIABILITY

Each party represents that the individual executing this Form on its behalf is duly authorized to bind the party. Neither party shall be liable to the other for incidental or consequential damages arising solely from administrative delays in forwarding notices, provided that the Receiving Party exercised reasonable diligence in handling such notices.

9. TERM AND TERMINATION

This Form shall remain in effect until terminated by mutual written agreement of the parties or until superseded by a subsequent written designation. Termination shall not affect notices properly given prior to the effective date of termination.

10. GOVERNING LAW; VENUE

This Form shall be governed by and construed in accordance with the laws chosen below. Any disputes arising out of or in connection with this Form shall be resolved in the courts located in the selected jurisdiction.

11. ENTIRE AGREEMENT; SEVERABILITY

This Form constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior oral and written understandings. If any provision of this Form is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

12. AMENDMENT; WAIVER

No amendment or waiver of any provision of this Form shall be effective unless in writing and signed by both parties. The waiver by either party of a breach of any provision of this Form shall not operate as a waiver of any subsequent breach.

13. COUNTERPARTS; EXECUTION

This Form may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one and the same instrument. Facsimile, photographed, or electronically transmitted signatures shall be deemed original signatures for purposes of this Form.
