LEGAL ADHERENCE AGREEMENT

This Legal Adherence Agreement ("Agreement") is entered into as of Effective Date: by and between Adhering Party: with principal address and Recipient: with principal address .

RECITALS

WHEREAS, Adhering Party performs certain activities, operations or provides goods or services that are subject to legal, regulatory or contractual standards applicable to Recipient; and

WHEREAS, Recipient requires assurance that Adhering Party will comply with specified laws, regulations, policies and standards and will permit reasonable verification of such compliance; and

WHEREAS, the parties desire to set forth the scope, monitoring, remedies and related terms governing Adhering Party's obligations to adhere to the specified legal and compliance requirements.

NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein, and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:

1. DEFINITIONS

1.1 "Standards" means the statutes, regulations, codes, contractual obligations, policies and industry standards identified in the Specification of Standards field below and any successors or amendments thereto.

2. SCOPE OF ADHERENCE

2.1 Adhering Party covenants to comply, at its own expense, with the Standards in the performance of all activities that impact Recipient. Such compliance shall include implementing and maintaining policies, procedures, controls and training reasonably necessary to meet the Standards.

3. REPRESENTATIONS AND WARRANTIES

3.1 Each party represents and warrants that it has full corporate authority to enter into this Agreement and that the person signing below is authorized to bind such party. Adhering Party represents that, to its knowledge, no undisclosed facts exist that would prevent it from performing its obligations under the Standards.

4. MONITORING, REPORTING AND AUDIT RIGHTS

4.1 Adhering Party shall maintain records reasonably necessary to demonstrate compliance with the Standards for a period of not less than the retention period required by the applicable Standard or three (3) years, whichever is longer.

4.2 Upon reasonable prior written notice, Recipient or its authorized representative shall have the right to conduct on-site audits or remote examinations to verify compliance. Recipient shall provide at least days' advance written notice except where immediate access is required by law or to prevent imminent harm.

4.3 Adhering Party shall promptly remediate any noncompliance identified by Recipient and shall provide a written corrective action plan within days of discovery of such noncompliance.

5. CONFIDENTIALITY OF COMPLIANCE MATERIALS

5.1 All audit reports, corrective action plans, compliance records and other materials exchanged under this Agreement that constitute Confidential Information shall be subject to the confidentiality obligations set forth in this Section. Recipient shall use such materials solely for purposes of verifying compliance and enforcing its rights under this Agreement.

6. REMEDIES; INJUNCTIVE RELIEF; INDEMNIFICATION

6.1 In the event of a material breach by Adhering Party, Recipient shall be entitled to exercise all remedies available at law or in equity, including injunctive relief to prevent continued noncompliance. Monetary damages shall not be deemed the exclusive remedy.

7. TERM AND TERMINATION

7.1 This Agreement shall commence on Start Date: and shall continue until End Date: unless earlier terminated in accordance with this Section.

7.2 Either party may terminate this Agreement for material breach by the other party if the breaching party fails to cure such breach within days after receipt of written notice describing the breach.

8. NOTICES

8.1 All notices, requests, consents and other communications required or permitted under this Agreement shall be in writing and delivered to the respective parties at the addresses set forth below or to such other address as a party may designate by written notice.

9. AMENDMENTS; WAIVER

9.1 No amendment, modification or waiver of any provision of this Agreement shall be effective unless in writing and signed by duly authorized representatives of both parties. No waiver shall be implied from any course of dealing.

10. GOVERNING LAW; SEVERABILITY; ENTIRE AGREEMENT

10.1 This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of laws principles.

10.2 If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect and the parties shall negotiate in good faith to replace the invalid provision with a valid provision that achieves the parties' intent to the greatest extent possible.

10.3 This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, whether written or oral.

11. COUNTERPARTS

11.1 This Agreement may be executed in counterparts and by electronic signature, each of which shall be deemed an original and all of which together shall constitute one and the same instrument.
