Legal Administrative Matters Manual

This Legal Administrative Matters Manual (the Manual) is made and entered into as of by and between Party A Name: (hereinafter "Party A") and Party B Name: (hereinafter "Party B"). Each of Party A and Party B is a "Party" and collectively the "Parties."

Recitals

WHEREAS, the Parties desire to set forth a manual that establishes the administrative policies, procedures, responsibilities and controls applicable to the management of corporate and legal records, regulatory filings, and internal administrative functions (the Administrative Matters); and

WHEREAS, the Manual is intended to allocate responsibilities, provide consistent processes for document control and retention, require measures for confidentiality and compliance, and establish audit and review protocols; and

WHEREAS, the Parties acknowledge that adherence to the Manual is a material component of their compliance obligations and risk management framework.

NOW THEREFORE

NOW THEREFORE, in consideration of the mutual covenants contained herein and other good and valuable consideration, the receipt and sufficiency of which are acknowledged, the Parties agree as follows:

1. Definitions

1.1 "Administrative Records" means all corporate governance documents, contracts, regulatory filings, personnel records and other records identified by the Parties as subject to the Manual. 1.2 "Custodian" means the individual designated by a Party to maintain and control Administrative Records. 1.3 Terms defined in this Manual shall have the meanings assigned herein when used in any part of this Manual.

2. Scope and Application

2.1 This Manual applies to all Administrative Records created, received, or stored by either Party in connection with activities governed by this Manual. 2.2 Each Party shall ensure that its officers, directors, employees, contractors and agents comply with the provisions of this Manual to the extent the Manual governs actions taken on behalf of that Party.

3. Administrative Responsibilities

3.1 Each Party shall designate a Custodian responsible for implementing the Manual, maintaining the administrative record index, and acting as the primary contact for administrative matters. Custodian Name:

3.2 Custodians shall maintain up-to-date registers identifying Administrative Records, their location, retention period and access restrictions. Custodians shall be responsible for periodic review and disposition in accordance with Section 4 below.

4. Document Control and Record Retention

4.1 Records shall be retained in accordance with retention schedules established by the Parties. Unless otherwise required by law, records identified as "Standard Administrative Records" shall be retained for a minimum of from the date of creation or final action.

4.2 All controlled documents shall be maintained with version identifiers, approval history, and custodial signatures. No document shall be destroyed, altered, or otherwise removed from the record system without the written approval of the designated Custodian and compliance with the disposition procedures.

5. Confidentiality and Data Protection

5.1 Each Party shall maintain appropriate administrative, technical and physical safeguards to protect Confidential Information from unauthorized disclosure or access. 5.2 Confidential Information includes, without limitation, legal advice, privileged communications, personnel records, and other information identified as confidential in writing.

5.3 Access to Confidential Information shall be limited to those persons with a bona fide need to know, and all recipients shall be bound by confidentiality obligations at least as protective as those set forth in this Manual.

6. Compliance with Laws and Regulatory Filings

6.1 The Parties shall comply with all applicable statutes, rules and regulations governing Administrative Records, filings and disclosures. Each Party shall be responsible for timely preparation and submission of regulatory filings for which it is legally responsible.

7. Training and Competency

7.1 The Parties shall maintain training programs for personnel responsible for administrative tasks and record maintenance. Training shall be documented and maintained by the Custodian. Describe required training frequency:

8.1 Each Party shall permit reasonable access to Administrative Records for the other Party, auditors and regulators, subject to applicable confidentiality protections. Access requests shall be directed to the Custodian and fulfilled within a reasonable period.

9. Liability and Indemnification

9.1 Each Party shall be responsible for its own acts and omissions in performing obligations under this Manual. 9.2 To the extent permitted by law, each Party agrees to indemnify and hold harmless the other Party from any claims, liabilities, losses, damages or expenses arising from the indemnifying Party's negligent or willful breach of this Manual.

10. Term and Termination

10.1 This Manual shall commence on the Effective Date and continue until terminated by mutual written agreement or as otherwise provided herein. 10.2 Either Party may terminate this Manual upon thirty (30) days' prior written notice to the other Party; provided that termination shall not relieve either Party of its obligations with respect to records created prior to termination, including retention and confidentiality obligations.

11. Notices

11.1 All notices, requests, consents and other communications required or permitted under this Manual shall be in writing and delivered to the Custodian or other designated contact for each Party as set forth below.

12. Amendments

12.1 This Manual may be amended only by a written instrument executed by authorized representatives of both Parties. Any modification, amendment or waiver shall be effective only in the specific instance and for the specific purpose given.

13. Waiver

13.1 No failure or delay by either Party in exercising any right, power or remedy under this Manual shall constitute a waiver. A waiver is effective only if it is in writing and signed by the waiving Party.

14. Counterparts; Electronic Execution

14.1 This Manual may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one and the same instrument. Facsimile, electronic or scanned signatures shall be deemed original signatures for all purposes.

15. Governing Law

15.1 This Manual shall be governed by and construed in accordance with the laws of the State of without regard to its conflicts of laws principles.

16. Entire Agreement

16.1 This Manual constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings and communications, whether oral or written, relating to Administrative Matters.

17. Severability

17.1 If any provision of this Manual is held to be invalid, illegal or unenforceable in any respect by a court of competent jurisdiction, such provision shall be severed and the remainder of the Manual shall remain in full force and effect.
