For purposes of this Agreement the following terms shall have the following meanings: "Admission" means the written factual statements set forth in Section 2 below; "Proceeding" means any civil, criminal, regulatory, administrative or arbitration matter in which Receiving Party reasonably anticipates use of the Admission.

Except as required by law, court order, or the terms of this Agreement, Receiving Party shall maintain the confidentiality of the Admission and shall not disclose it to any third party without the prior written consent of Admitting Party. Notwithstanding the foregoing, Receiving Party may disclose the Admission to its legal counsel, insurers, and as necessary to prosecute or defend Proceedings.

8. RELEASE, WAIVER AND INDEMNIFICATION

To the extent permitted by law, Admitting Party releases and waives any civil claims arising solely from the facts admitted herein against Receiving Party in connection with the Proceedings and agrees to indemnify, defend and hold harmless Receiving Party from and against any third-party claims arising from Admitting Party's breach of this Agreement or misrepresentation of the admitted facts.

All notices, requests, demands and other communications required or permitted under this Agreement shall be in writing and delivered to the addresses set forth below by hand, nationally recognized overnight courier, or certified mail, return receipt requested:

Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the state of , without regard to conflict-of-law principles.
