LEGAL ADVANCE FEES AGREEMENT

This Legal Advance Fees Agreement (the Agreement) is entered into as of , by and between Law Firm Name: and Client Name: .

RECITALS

WHEREAS, Client has retained Law Firm to provide legal services in connection with the matter described as (the Matter); and

WHEREAS, Law Firm requires an advance on fees and payment of expected costs and disbursements to be held in trust and applied to fees, costs and other charges as incurred in the representation; and

WHEREAS, the parties desire to set forth their agreement regarding the payment, accounting and application of such advance fees and costs.

NOW, THEREFORE

The parties agree as follows:

1. DEFINITIONS

For purposes of this Agreement, the following terms have the meanings set forth below:

(a) "Advance Fees" means funds paid by Client to Law Firm in advance to be held in trust and applied against fees, costs and disbursements incurred in the Matter.

(b) "Costs and Disbursements" means filing fees, court costs, deposition costs, expert fees, courier charges, travel expenses and other out-of-pocket expenses incurred by Law Firm on behalf of Client.

2. RETAINER AND ADVANCE FEES

Client shall pay to Law Firm an initial advance in the amount of to be deposited into Law Firm’s client trust account. The initial advance is intended to cover anticipated fees and costs and is subject to replenishment as provided in Section 4.

Client acknowledges that Advance Fees may be treated as earned by Law Firm as legal services are performed and costs are incurred, subject to accounting and any fiduciary duties applicable to trust funds.

3. APPLICATION OF PAYMENTS; ACCOUNTING

Law Firm will apply Advance Fees to invoices for fees, costs and disbursements in the order Law Firm determines is appropriate. Law Firm shall provide Client with periodic statements describing services rendered, hours, rates, disbursements and the application of Advance Fees. Statements will be provided no less frequently than .

4. COSTS, DISBURSEMENTS AND REPLENISHMENT

Client shall be responsible for all Costs and Disbursements incurred by Law Firm. Client shall promptly replenish Advance Fees when notified that the trust balance has fallen below .

Law Firm may, at its election, suspend work if Client fails to timely replenish Advance Fees, subject to any ethical obligations regarding withdrawal and notice.

5. BILLING RATES; ESTIMATES

Law Firm's hourly rates for attorneys, paralegals and other personnel assigned to the Matter are set forth as follows: Attorneys per hour; Paralegals per hour. Such rates are subject to change upon notice to Client.

Any estimate of total fees or costs provided by Law Firm is an estimate only and not a fixed fee unless otherwise expressly agreed in writing.

6. INTEREST ON PAST DUE BALANCES

Any invoice balance not paid within days after the date of the invoice shall accrue interest at the rate of , or the maximum rate permitted by law, whichever is less.

7. WITHDRAWAL; CONFLICTS

Law Firm may withdraw from representation if continued representation would violate applicable rules of professional responsibility, if Client insists upon a course of action that is unlawful, or if Client fails to fulfill obligations under this Agreement. Upon withdrawal, Law Firm will render a final accounting and, after payment of outstanding fees and costs, return any unearned Advance Fees to Client in accordance with applicable trust account rules.

8. TERMINATION; REFUND

Either party may terminate this Agreement upon written notice to the other. Termination does not relieve Client of the obligation to pay fees and costs incurred prior to termination. Within a reasonable time after final accounting, Law Firm shall refund to Client any unearned Advance Fees remaining in trust.

9. NOTICES

All notices or communications required or permitted under this Agreement shall be in writing and delivered to the notice addresses set forth above by hand, certified mail, or overnight courier and shall be effective upon receipt.

10. CONFIDENTIALITY

Law Firm will maintain the confidentiality of Client information as required by applicable rules of professional conduct. Client authorizes Law Firm to use client information as reasonably necessary to carry out the representation and to maintain required records.

11. DISPUTE RESOLUTION

Any dispute arising out of or relating to this Agreement, including billing disputes, shall first be submitted to the law firm's internal dispute resolution procedures. If the dispute is not resolved within sixty (60) days, either party may pursue resolution by arbitration or litigation as elected by the party initiating the proceeding. The arbitrator or court shall have authority to award fees and costs as permitted by law.

12. GOVERNING LAW; VENUE

This Agreement shall be governed by and construed in accordance with the laws of the state of , without regard to its conflict of law provisions. Venue for any court action shall be in the state and federal courts located in the county specified by law firm.

13. ENTIRE AGREEMENT; SEVERABILITY

This Agreement contains the entire understanding between the parties relating to the subject matter hereof and supersedes all prior agreements and understandings, whether written or oral. If any provision of this Agreement is held invalid or unenforceable, the remainder of this Agreement shall remain in full force and effect.

14. AMENDMENTS; WAIVER; COUNTERPARTS

No amendment to this Agreement shall be effective unless in writing and signed by both parties. Failure by either party to enforce any provision shall not constitute a waiver of that provision. This Agreement may be executed in counterparts, each of which shall be deemed an original, and facsimile or electronic signatures shall be effective as originals.
