LEGAL ADVANCE LETTER

This Legal Advance Letter (the "Letter") is made as of by and between Lender Name: whose principal address is (\"Lender\") and Recipient Name: whose principal address is (\"Recipient\").

RECITALS

WHEREAS, Recipient has requested that Lender provide an advance of funds to finance certain legal services and related expenses described herein; and

WHEREAS, Lender is willing to make such advance to Recipient on the terms and subject to the conditions set forth in this Letter; and

WHEREAS, the parties intend that the advance shall be applied against fees, costs or other obligations of Recipient to Lender as set forth below.

NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein, and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:

1. ADVANCE

1.1 Advance Amount. Lender agrees to advance to Recipient the principal sum of (the "Advance") upon the terms set forth in this Letter.

1.2 Disbursement. The Advance shall be disbursed to Recipient by wire transfer or check to the account or address designated by Recipient in writing. Disbursement is subject to any conditions precedent agreed by the parties.

Recipient acknowledges and agrees that the Advance shall be used solely for the following purpose(s):

3.1 Repayment Obligation. Unless otherwise agreed in writing, Recipient shall repay the Advance in full upon the earliest of: (a) application of the Advance to outstanding invoices for services rendered by Lender, (b) , or (c) demand upon an event of default as provided in Section 6.

3.2 Prepayment. Recipient may prepay the Advance in whole or in part at any time without premium or penalty unless otherwise set forth in a separate fee agreement between the parties.

4. SECURITY

4.1 Security Interest. To secure repayment of the Advance and all obligations arising under this Letter, Recipient grants to Lender a continuing security interest in and lien upon all accounts, retainer funds, deposits, proceeds, and other property of Recipient in the possession or control of Lender, whether existing now or acquired in the future.

5. INTEREST AND FEES

5.1 Interest. The Advance shall bear interest at a rate of % per annum, calculated on the basis of a 365-day year and payable on demand or at repayment.

5.2 Fees and Costs. Recipient shall reimburse Lender for all reasonable costs and expenses (including attorneys' fees) incurred by Lender in connection with enforcing its rights under this Letter following an event of default.

6. DEFAULT

6.1 Events of Default. The following shall constitute an event of default: (a) failure by Recipient to pay any amount when due; (b) a material breach of any representation, warranty or covenant in this Letter; (c) insolvency, bankruptcy or appointment of a receiver for Recipient; or (d) any material adverse change in Recipient's financial condition.

6.2 Remedies. Upon the occurrence of an event of default, Lender may declare the entire outstanding principal and accrued interest immediately due and payable and exercise any and all rights and remedies available at law or in equity, including application of retainer funds and enforcement of the security interest described herein.

7. NOTICES

All notices, requests, consents and other communications hereunder shall be in writing and delivered by hand, nationally recognized overnight courier, or certified mail, return receipt requested, to the addresses set forth below or to such other address as a party may designate by notice to the other in accordance with this Section.

8. REPRESENTATIONS AND WARRANTIES

Each party represents and warrants to the other that: (a) it has the full power and authority to enter into this Letter and to perform its obligations hereunder; (b) this Letter constitutes a legal, valid and binding obligation enforceable in accordance with its terms; and (c) the execution and delivery of this Letter and performance hereunder does not violate any law or contractual obligation to which it is a party.

9. AMENDMENT; WAIVER

No amendment, modification or waiver of any provision of this Letter shall be effective unless in writing and signed by both parties. No failure or delay by a party in exercising any right shall operate as a waiver of that right.

10. GOVERNING LAW

This Letter shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws principles.

11. ENTIRE AGREEMENT

This Letter constitutes the entire agreement between the parties with respect to the Advance and supersedes all prior agreements, understandings and negotiations, whether written or oral, relating to the subject matter hereof.

12. SEVERABILITY

If any provision of this Letter is held to be invalid, illegal or unenforceable in any jurisdiction, such provision shall be ineffective to the extent of such invalidity only, without affecting the remaining provisions hereof or the validity or enforceability of such provision in any other jurisdiction.

13. COUNTERPARTS

This Letter may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one and the same instrument. Signatures delivered by facsimile or electronic image shall be binding for all purposes.
