RECITALS

WHEREAS, Attorney is duly licensed to practice law and possesses experience and knowledge relevant to the legal issues described herein; and

Attorney represents that Advice is based on facts and information provided by Client and on Attorney's professional judgment at the time Advice was given. Predictions about outcomes are expressions of opinion only and not a promise or guarantee.

Client acknowledges that subsequent facts, evidence, or legal developments may materially affect Advice and that Client must promptly notify Attorney of any changed circumstances.

4. CONFIDENTIALITY AND ATTORNEY-CLIENT PRIVILEGE

Communications between Attorney and Client made for the purpose of obtaining or providing legal advice are privileged under applicable law and will be maintained as confidential, subject to the Attorney's professional obligations and exceptions required by law, including but not limited to disclosure required to prevent reasonably certain death or substantial bodily harm, or where necessary to comply with a court order.

5. RELIANCE; THIRD PARTIES

Advice provided is solely for Client's use and may not be relied upon by any other person or entity without Attorney's express written consent. Attorney disclaims any duty to any third party who may obtain or review Advice.

6. FEES, BILLING, AND COSTS

Client agrees to pay Attorney's fees and expenses as described above or under the parties' separate engagement agreement. Unless otherwise stated, the provision of Advice does not itself create a continuing unlimited representation.

7. FILES, RECORD RETENTION, AND COPIES

Attorney shall retain files and records in accordance with applicable professional responsibilities. Upon Client's written request and subject to payment of reasonable copying costs, Attorney will provide copies of documents created for Client in connection with the Matter, except to the extent prohibited by law or privilege.

8. CONFLICTS; WAIVERS

Attorney has disclosed to Client any known conflicts of interest arising from prior or current representations that materially affect the Matter. If Client knowingly and voluntarily consents to any disclosed conflict, such consent must be documented in writing.

9. NOTICES

All notices required or permitted under this Statement shall be in writing and delivered to the addresses set forth at the beginning of this Statement or to such other address as a party may designate by written notice to the other party.

10. AMENDMENT; WAIVER; COUNTERPARTS

This Statement may be amended only by a writing signed by both parties. No waiver of any provision shall be effective unless in writing and signed by the party waiving compliance. This Statement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one instrument.

11. GOVERNING LAW; ENTIRE AGREEMENT; SEVERABILITY

This Statement shall be governed by and construed in accordance with the substantive laws of the state or jurisdiction in which Attorney maintains the principal office providing the Advice, without regard to choice-of-law principles. This Statement constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior agreements and understandings, whether written or oral. If any provision of this Statement is held to be invalid or unenforceable, such provision shall be severed and the remainder of the Statement shall continue in full force and effect.
