RECITALS

WHEREAS, the Company prepares annual financial statements for the fiscal period ending (the "AFS");

WHEREAS, the Auditor has been engaged by the Company to perform audit or review procedures in respect of the AFS and to prepare or attest to the auditor's report thereon in accordance with applicable professional standards;

WHEREAS, the parties desire to set forth certain certifications, delivery obligations, access and confidentiality terms relating to the preparation, delivery and filing of the AFS.

NOW THEREFORE, in consideration of the mutual covenants set forth below and other valuable consideration, the receipt and sufficiency of which are acknowledged, the parties agree as follows:

1. DEFINITIONS

For purposes of this Agreement, the following terms shall have the meanings set forth below:

"AFS" means the consolidated and/or parent company annual financial statements, including notes, the management discussion and analysis where required, and any related schedules prepared by the Company for the Fiscal Year ending at the date set forth above.

"Applicable Accounting Standards" means the accounting standards applicable to the Company as required by law or regulation or by contractual obligation.

2. COMPANY CERTIFICATIONS AND REPRESENTATIONS

The Company represents and warrants to the Auditor that: (a) the AFS will be prepared in all material respects in accordance with Applicable Accounting Standards; (b) the AFS will fairly present the financial position, results of operations and cash flows of the Company as of and for the Fiscal Year; (c) all material transactions and liabilities of which Company has knowledge have been disclosed to the Auditor; and (d) the persons executing this Agreement on behalf of the Company are duly authorized to make the certifications herein.

3. AUDITOR ENGAGEMENT AND DELIVERABLES

The Auditor agrees to perform audit or review procedures in accordance with the engagement letter accepted by the Company and to issue an auditor's report or review conclusion that will accompany the AFS. Deliverables shall include the auditor's report and any management letter prepared by the Auditor.

Delivery Deadline for Final AFS to Auditor: . If the Company fails to deliver the AFS by such date, the Auditor may suspend further work after delivering written notice to the Company in accordance with the Notices provision below.

4. ACCESS TO RECORDS AND RETENTION

The Company shall provide the Auditor with reasonable access to all books, records, supporting documentation and personnel necessary for the Auditor to perform the agreed procedures. The Company shall preserve such records for a period of from the end of the Fiscal Year, or for such longer period as required by applicable law.

5. CONFIDENTIALITY

Each party shall maintain in confidence all non-public information received from the other party in connection with the AFS, and shall not disclose such information except (a) to its employees, agents or professional advisors who have a need to know and are bound by confidentiality obligations, (b) as required by applicable law, regulation, or professional standards, or (c) with the prior written consent of the disclosing party.

6. INDEMNIFICATION

The Company shall indemnify, defend and hold harmless the Auditor and its partners, employees and agents from and against any and all losses, liabilities, damages, costs and expenses (including reasonable legal fees) arising out of or resulting from misstatements in the AFS, omissions of material information, or the Company's breach of any representation, warranty or covenant in this Agreement, except to the extent resulting from the Auditor's gross negligence or willful misconduct.

7. LIMITATION OF LIABILITY

Except for liability arising from fraud, willful misconduct, or gross negligence, the total aggregate liability of the Auditor to the Company for all claims arising under or relating to this Agreement shall not exceed the greater of (a) the fees paid to the Auditor under the related engagement, or (b) an amount of .

8. NOTICES

All notices required or permitted under this Agreement shall be in writing and delivered by hand, recognized overnight courier, or certified mail to the addresses specified below, or to such other address as either party may specify by notice to the other in accordance with this Section.

9. AMENDMENTS; WAIVER; COUNTERPARTS

This Agreement may be amended or modified only by a written instrument executed by authorized representatives of both parties. No waiver of any provision shall be effective unless in writing and signed by the party against whom enforcement is sought. This Agreement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one instrument.

10. GOVERNING LAW; ENTIRE AGREEMENT; SEVERABILITY

This Agreement shall be governed by and construed in accordance with the laws of the state or jurisdiction of without regard to conflict of laws principles. This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior agreements and understandings, both written and oral. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.

Each party acknowledges that it has had the opportunity to consult with independent legal counsel with respect to this Agreement, and that any headings used herein are for convenience only and shall not affect interpretation.
