LEGAL AGENCY ADDENDUM

This Legal Agency Addendum (the "Addendum") is made as of Effective Date: between Client Name: (the "Client"), a , with principal place of business at ; and Agent Name: (the "Agent"), a , with principal place of business at .

RECITALS

WHEREAS, the Client and Agent are parties to an existing agreement titled dated (the "Agreement");

WHEREAS, the Client desires to expand, modify, or clarify the scope of the Agent's authority under the Agreement, and the Agent is willing to accept such appointment under the terms set forth in this Addendum;

WHEREAS, the parties intend that this Addendum shall govern the Agent's authority with respect to the activities described below and shall operate as an integral amendment to the Agreement.

NOW, THEREFORE, in consideration of the mutual covenants set forth herein and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:

Agent shall perform its duties in good faith, with the degree of skill, care, and diligence that a reasonably prudent agent would exercise in similar circumstances, and in compliance with all applicable laws and regulations. Agent shall promptly disclose to Client any conflict of interest that arises in connection with the performance of duties.

4. CLIENT OBLIGATIONS

Client shall provide Agent with all necessary information, authorizations, and access to personnel and records required for Agent to perform the services. Client shall timely review materials submitted by Agent and shall not unreasonably withhold approvals.

5. COMPENSATION AND EXPENSES

As consideration for services rendered under this Addendum, Client shall pay Agent as follows:

6. TERM AND TERMINATION

Either party may terminate this Addendum for convenience upon written notice to the other party delivered at least days prior to the effective date of termination. Termination for cause shall be permitted where a material breach is not cured within the cure period specified in the Agreement or, if none, within 30 days following written notice of breach.

7. CONFIDENTIALITY

Each party acknowledges that it may receive Confidential Information of the other. "Confidential Information" means non-public information disclosed in writing or other tangible form and identified as confidential, or, if disclosed orally, designated as confidential and confirmed in writing within 30 days of disclosure. Agent shall not disclose or use Confidential Information except as necessary to perform its obligations under this Addendum. The obligations of confidentiality shall survive termination for a period of years.

8. REPRESENTATIONS AND WARRANTIES

Each party represents and warrants that it has the full right, power and authority to enter into and perform this Addendum, that the execution and delivery of this Addendum has been duly authorized, and that this Addendum constitutes a valid and binding obligation enforceable against such party in accordance with its terms.

9. INDEMNIFICATION; INSURANCE

Agent shall indemnify, defend and hold harmless Client and its affiliates, officers, directors and employees from and against any and all claims, liabilities, losses, damages and expenses (including reasonable attorneys' fees) arising out of Agent's gross negligence, willful misconduct or breach of this Addendum. Client shall indemnify Agent for Client's negligent acts or omissions. The parties shall maintain insurance coverage customary for the scope of services described herein in commercially reasonable amounts.

10. LIMITATION OF LIABILITY

Except for liability arising from gross negligence, willful misconduct, fraud or breach of confidentiality, neither party shall be liable to the other for consequential, incidental, special or punitive damages. The aggregate liability of either party for any claim arising under or relating to this Addendum shall not exceed $ , unless otherwise expressly agreed in writing.

11. NOTICES

All notices required or permitted under this Addendum shall be in writing and shall be deemed given when delivered personally, sent by certified mail (return receipt requested), or sent by nationally recognized overnight courier to the addresses below or to such other address as a party may designate in writing.

12. AMENDMENTS; WAIVER

No amendment or modification of this Addendum shall be effective unless in writing and signed by both parties. No waiver of any provision shall be effective unless in a writing signed by the waiving party; failure to exercise any right shall not constitute a waiver of that right.

13. GOVERNING LAW

This Addendum shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws principles.

14. ENTIRE AGREEMENT; SEVERABILITY; COUNTERPARTS

This Addendum, together with the Agreement, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior negotiations and understandings. If any provision of this Addendum is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. This Addendum may be executed in counterparts, each of which shall be deemed an original, and which together shall constitute one and the same instrument.
