LEGAL AGENCY DISCLOSURE FORM

This Legal Agency Disclosure Form is made Effective Date: by and between Client Name: (the "Client") and Agent Name: (the "Agent").

RECITALS

WHEREAS, the Agent practices law or provides legal services and is duly authorized and qualified to act as legal representative in the jurisdiction of and holds any licenses required to perform the services described below;

WHEREAS, the Client desires to engage the Agent to act on the Client's behalf in connection with the matter described as: and to disclose the nature and limits of the agency relationship; and

WHEREAS, the parties wish to set forth their mutual understanding regarding authority, duties, compensation, conflicts and related disclosures.

NOW THEREFORE, in consideration of the mutual covenants herein, the parties agree as follows:

1. APPOINTMENT AND SCOPE

1.1 Appointment. The Client hereby appoints the Agent to act as the Client's legal agent and representative with respect to the matter described above. The Agent's authority is limited to the scope set forth in Section 1.2 and any written scope agreed in advance by the Client.

2. DUTIES OF THE AGENT

2.1 Standard of Care. The Agent shall perform services in a manner consistent with the standards of the legal profession and applicable rules of professional conduct. The Agent will exercise reasonable skill, diligence and judgment in representing the Client.

2.2 Communication. The Agent shall keep the Client reasonably informed of significant developments and provide copies of material documents upon request. The Client authorizes the Agent to take such actions as are reasonably necessary to effectuate the representation within the agreed scope.

3. CLIENT DUTIES

The Client agrees to cooperate with the Agent, provide accurate and complete information and documents relevant to the matter, respond promptly to requests, and pay fees and reimburse expenses as set forth in this Agreement.

4. COMPENSATION AND EXPENSES

4.1 Fees. The Client shall pay the Agent fees in accordance with the following arrangement: . Any change to the fee arrangement shall be in writing and signed by both parties.

4.2 Expenses. The Client shall reimburse the Agent for reasonable and necessary expenses incurred in the performance of services, including but not limited to filing fees, courier charges, expert fees and travel, subject to prior notice when practicable.

5. CONFLICTS OF INTEREST; DUAL REPRESENTATION

5.1 Disclosure. The Agent represents that, to the Agent's knowledge after reasonable inquiry, the following actual or potential conflicts of interest exist:

6. CONFIDENTIALITY AND PRIVILEGE

The Agent shall maintain the confidentiality of communications subject to attorney-client privilege or other protective rules, except as authorized by the Client or required by law. The Client acknowledges that certain disclosures may be required by law or court order.

7. TERM AND TERMINATION

7.1 Term. This Agreement commences on the Effective Date set forth above and continues until the conclusion of the matter or earlier termination as provided herein.

7.2 Termination. Either party may terminate this Agreement upon written notice to the other party. Upon termination the Client remains responsible for fees and expenses incurred through the date of termination.

8. NOTICES

All notices required or permitted under this Agreement shall be in writing and delivered to the address of the receiving party set forth below or to such other address as either party designates by written notice.

9. AMENDMENTS; WAIVER

No amendment, modification or waiver of any provision of this Agreement shall be effective unless in writing and signed by both parties. Failure to enforce any provision shall not constitute a waiver of future enforcement.

10. GOVERNING LAW; ENTIRE AGREEMENT; SEVERABILITY

10.1 Governing Law. This Agreement shall be governed by and construed in accordance with the laws of the state of , without regard to its conflict of law principles.

10.2 Entire Agreement. This Agreement constitutes the entire understanding between the parties with respect to the subject matter hereof and supersedes all prior agreements and understandings, whether written or oral.

10.3 Severability. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.
