RECITALS

WHEREAS, the Company is currently registered in the jurisdiction identified above and maintains a designated registered agent for service of process and official correspondence; and

WHEREAS, the Company desires to change its legal/registered agent from the Current Registered Agent to the New Legal Agent identified above effective as of the Effective Date set forth below; and

WHEREAS, the New Legal Agent has agreed to accept appointment as the Company’s registered agent and to perform the duties required by applicable law and this Agreement.

NOW, THEREFORE, in consideration of the mutual covenants contained herein, the parties agree as follows:

1. APPOINTMENT OF NEW AGENT

1.1 Appointment. The Company hereby appoints the New Legal Agent to serve as its registered agent for service of process, notices and other official communications in the jurisdiction of formation identified above, and the New Legal Agent accepts such appointment on the terms and conditions of this Agreement.

2. RESIGNATION OF FORMER AGENT

2.1 Resignation. Effective as of the Effective Date, the Current Registered Agent shall be deemed to have resigned and shall have no further authority to accept service on behalf of the Company. The Company represents that it will take all actions necessary to effectuate such resignation and will provide any required notices to the jurisdictional authorities.

3. ACCEPTANCE BY NEW AGENT

3.1 Acceptance. The New Legal Agent hereby accepts appointment and agrees to perform all duties of a registered agent under applicable law, including receipt of service of process, maintenance of a business address for service, and prompt transmission of all received notices to the Company’s designated addresses.

3.2 Agent Undertaking. The New Legal Agent shall maintain a physical street address at which it is available during normal business hours and shall promptly notify the Company of any change in such address.

4. EFFECTIVE DATE

5. REPRESENTATIONS AND WARRANTIES

5.1 Company Representations. The Company represents and warrants that (a) it is duly organized and in good standing in the jurisdiction of formation, (b) the execution and delivery of this Agreement and the performance of its obligations hereunder have been duly authorized by all necessary corporate or organizational action, and (c) no consent or approval of any third party is required to effectuate the change of registered agent other than filings with the jurisdictional authorities.

The New Legal Agent represents and warrants that it is authorized and able to accept appointment as registered agent, that it maintains the address provided in this form during normal business hours, and that its acceptance will not violate any law or contractual obligation.

6. NOTICE ADDRESSES

6.1 Notice. All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth above by hand delivery, nationally recognized overnight courier, or certified mail, return receipt requested, and shall be effective upon delivery (or refusal of delivery).

7. INDEMNIFICATION

7.1 Indemnity by Company. The Company shall indemnify, defend and hold harmless the New Legal Agent and its officers, directors, employees and agents from and against any and all claims, liabilities, losses, costs and expenses (including reasonable attorneys' fees) arising from or relating to acts or omissions of the Company or prior agents, except to the extent resulting from the gross negligence, willful misconduct or bad faith of the New Legal Agent.

8. AMENDMENT; WAIVER

8.1 Amendment. This Agreement may be amended only by a written instrument executed by both the Company and the New Legal Agent.

8.2 Waiver. No waiver of any provision of this Agreement shall be effective unless made in writing and signed by the party against whom the waiver is asserted.

9. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction of formation without regard to conflicts of law principles.

10. ENTIRE AGREEMENT; SEVERABILITY

10.1 Entire Agreement. This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, whether written or oral.
