RECITALS

WHEREAS, Principal desires to appoint an agent to act on Principal's behalf with respect to specified legal matters and to disclose the scope and limitations of such appointment to third parties and other interested persons; and

8.1 Recordkeeping. Legal Agent shall keep accurate and complete records of all actions taken, funds received and disbursed, and all communications related to the authority granted herein. Such records shall be available to Principal upon reasonable request.

8.2 Final Accounting. Upon termination or revocation, Legal Agent shall provide Principal with a final accounting and promptly transfer or deliver to Principal all documents, funds and property held on Principal's behalf.

9. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of law principles.

10. ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings and representations, whether oral or written.

11. SEVERABILITY

If any provision of this Agreement is determined to be invalid, illegal or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect and shall be construed so as to effectuate the intent of the parties as nearly as possible.

12. AMENDMENT; WAIVER; COUNTERPARTS

12.1 Amendment. This Agreement may be amended or modified only by a written instrument executed by both parties.

12.2 Waiver. No waiver of any breach or default shall be deemed to be a waiver of any subsequent breach or default.

12.3 Counterparts. This Agreement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one and the same instrument.
