RECITALS

WHEREAS, Owner is the lawful possessor and/or controller of the real property and facilities located at (the Premises); and

WHEREAS, Entrant requires access to the Premises to perform the activities described in Section 2 below and has represented that Entrant has the qualifications, insurance and competencies necessary to perform such activities; and

WHEREAS, Owner is willing to permit limited entry by Entrant on the terms and conditions set forth herein.

NOW, THEREFORE

In consideration of the mutual covenants and promises contained in this Agreement and other good and valuable consideration, the receipt and sufficiency of which are acknowledged, the parties agree as follows:

1. GRANT OF ENTRY

Owner hereby grants Entrant, its employees, agents, subcontractors and invitees a non-exclusive, revocable license to enter the Premises solely for the purpose set forth in Section 2, subject to the terms and conditions of this Agreement. This license is limited to the areas of the Premises expressly authorized in writing and does not convey any leasehold, easement, or ownership interest.

Entrant shall comply with Owner's access procedures, security screening and identification requirements. Entrant shall ensure that all persons entering under this Agreement carry photo identification and wear any required identification badges at all times while on the Premises. Owner may require escort for any person at Owner's discretion.

5. SAFETY, SITE RULES AND COMPLIANCE

Entrant shall comply with all reasonable site rules provided by Owner and all applicable laws, regulations and codes. Entrant shall ensure that its personnel are trained in applicable safety protocols and shall supply and require the use of personal protective equipment as required by law or as reasonably required by Owner.

6. INSURANCE; PROOF OF COVERAGE

Prior to entry, Entrant shall procure and maintain at its expense insurance coverage adequate to protect Owner and Entrant from claims arising out of Entrant's activities on the Premises, including commercial general liability and workers' compensation as required by law. Entrant shall provide certificates of insurance to Owner upon request.

7. INDEMNITY

Entrant shall indemnify, defend and hold harmless Owner and its officers, directors, employees and agents from and against any and all claims, liabilities, losses, damages, costs and expenses (including reasonable attorneys' fees) arising out of or related to Entrant's entry, work, or omissions on the Premises, except to the extent caused by Owner's gross negligence or willful misconduct.

8. CONFIDENTIALITY

Entrant may have access to non-public information and materials while on the Premises. Entrant shall hold such information in strict confidence and shall not disclose or use such information except as necessary to perform the Permitted Purpose. All confidential information shall be returned or destroyed upon request.

9. DAMAGE TO PREMISES; RESTORATION

Entrant shall be responsible for any damage to the Premises arising out of Entrant's activities and shall promptly repair or, at Owner's option, reimburse Owner for repair or replacement costs. If restoration is required, Entrant shall complete such restoration within a reasonable period and in accordance with Owner's specifications.

10. TERMINATION; REVOCATION OF ENTRY

Owner may revoke Entrant's entry privileges at any time for cause, including but not limited to breach of this Agreement, violation of site rules, failure to maintain insurance, or conduct that endangers persons or property. Upon notice of revocation, Entrant shall immediately vacate the Premises and cease all activities.

11. NOTICES

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth below by personal delivery, certified mail (return receipt requested), or nationally recognized overnight courier, and shall be effective upon receipt.

12. AMENDMENT; WAIVER

This Agreement may be amended only by a written instrument signed by both parties. No waiver of any provision shall be effective unless in writing and signed by the waiving party. A waiver of any breach shall not be construed as a waiver of any subsequent breach.

13. GOVERNING LAW; VENUE

This Agreement shall be governed by and construed in accordance with the laws of the state in which the Premises is located, without regard to conflicts of law principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in the county in which the Premises is located for the resolution of disputes arising under this Agreement.

14. ENTIRE AGREEMENT; SEVERABILITY

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings and negotiations, oral or written. If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect and the parties shall negotiate in good faith to replace the invalid provision with a valid provision that achieves, to the extent possible, the original intent.

15. COUNTERPARTS

This Agreement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one and the same instrument. Signatures delivered by electronic means shall be binding for all purposes.
