LEGAL AGREEMENT AND CASE PLAN

This Legal Agreement and Case Plan (the "Agreement") is entered into as of by and between Client Name: and Service Provider Name: . The parties agree to the terms and case plan set forth below.

RECITALS

WHEREAS, Client requires assistance and coordinated services to address matters described in this Agreement and to achieve specified case plan outcomes; and

WHEREAS, Provider represents that it has the experience, personnel, and resources necessary to develop and implement a case plan, monitor progress, and report outcomes in accordance with this Agreement; and

WHEREAS, the parties desire to set forth their duties, performance milestones, reporting obligations, confidentiality obligations, and dispute resolution procedures with specificity so that the case plan may be carried out efficiently and with accountability.

NOW, THEREFORE, in consideration of the mutual covenants and promises contained herein, and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:

1. DEFINITIONS

In this Agreement: "Case Plan" means the specific goals, tasks, timelines, responsible parties, and measurable milestones described in Section 2; "Confidential Information" means information exchanged between the parties that is designated as confidential or that by its nature should reasonably be understood to be confidential, including but not limited to personal data, health information, legal filings, and financial records.

2. CASE PLAN OBJECTIVES AND DELIVERABLES

The parties agree the Case Plan will include specific goals, actions required to achieve each goal, assignments of responsibility, and target completion dates. The parties shall use the schedule and task entries below as the operative Case Plan.

3. RESPONSIBILITIES OF THE PARTIES

3.1 Provider shall develop, implement, and monitor the Case Plan in accordance with professional standards, prepare periodic written reports, and notify Client promptly of material risks to achieving the Case Plan objectives. Provider shall assign a primary case manager responsible for day-to-day coordination.

3.2 Client shall cooperate with Provider by providing access to records, participating in meetings, completing tasks assigned to Client, and providing timely information necessary for Provider to perform. Failure to cooperate may result in modification or suspension of services.

4. TIMELINE, MILESTONES AND REVIEW

The parties shall use the target dates in Section 2 as milestones for measuring progress. Provider shall prepare written progress reports at intervals not less frequently than every and shall hold review meetings at least every .

5. CONFIDENTIALITY

Each party shall maintain the confidentiality of Confidential Information and shall not disclose such information except as required by law or with the prior written consent of the other party. Provider may disclose Confidential Information to employees, agents, or subcontractors who have a need to know and who are bound by confidentiality obligations at least as protective as those herein. Confidential Information shall be returned or destroyed upon termination of this Agreement, except to the extent retention is required by applicable law.

6. RECORDS, REPORTING AND DATA USE

Provider shall maintain complete and accurate records concerning the Case Plan and shall permit Client to inspect records upon reasonable notice. Provider shall not use Client's data for research, marketing, or other secondary purposes without Client's prior written authorization.

7. FEES, EXPENSES AND PAYMENT

Client shall pay Provider fees as follows: . Any reimbursement of expenses shall be itemized and supported by receipts. Payment is due within days of invoice unless otherwise agreed in writing.

8. TERM AND TERMINATION

This Agreement shall commence on the Effective Date and shall continue until completion of the Case Plan or until earlier terminated by either party upon days' written notice. Termination shall not relieve either party of obligations accrued prior to termination, including payment for services rendered.

9. NOTICES

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses listed below or to such other address as either party designates by written notice. Notice is deemed given upon personal delivery, on the date of confirmed facsimile or electronic transmission, or three days after deposit in the United States mail, postage prepaid.

10. AMENDMENTS; WAIVER

No amendment to this Agreement shall be effective unless in a writing signed by both parties. No waiver of any breach shall constitute a waiver of any other breach or of the same breach at a later time unless expressly stated in a writing signed by the waiving party.

11. GOVERNING LAW; DISPUTE RESOLUTION

This Agreement shall be governed by and construed in accordance with the laws of the State selected by the parties: . If unresolved, disputes shall be submitted to mediation prior to initiation of any litigation or arbitration, unless otherwise prohibited by law.

14. COUNTERPARTS
