Capitalized terms used in this Certificate and not otherwise defined shall have the meanings assigned to them in the Underlying Agreement. For purposes of this Certificate, the term "Affiliates" means any entity that directly or indirectly controls, is controlled by, or is under common control with a Party.

2. CERTIFICATION OF AUTHORITY

Each Party hereby certifies that the individual executing this Certificate on its behalf is duly authorized to execute and deliver this Certificate and to bind the Party to the terms hereof. Attached to this Certificate as applicable and incorporated herein by reference are documents or statements evidencing corporate or other authority:

3. REPRESENTATIONS AND WARRANTIES

Each Party represents and warrants to the other Party as of the date hereof that: (a) it is duly organized, validly existing and in good standing under the laws of its jurisdiction of organization; (b) it has full power and authority to execute, deliver and perform its obligations under this Certificate; (c) this Certificate constitutes a legal, valid and binding obligation enforceable against it in accordance with its terms, subject to bankruptcy, insolvency and other laws of general application relating to creditors' rights and remedies; and (d) the execution and delivery of this Certificate and the performance of its obligations hereunder will not violate any material agreement, law, or order applicable to it.

4. CERTIFICATIONS

Each Party certifies, represents and warrants to the other Party that the factual statements made in this Certificate are true, complete and correct in all material respects as of the date hereof, and that it has disclosed to the other Party any fact necessary to make the statements herein not misleading. The Parties acknowledge that the other Party will rely upon this Certificate in connection with the Underlying Agreement.

5. RELIANCE; REMEDIES

Each Party acknowledges that the other Party and their respective successors, assigns and permitted transferees may rely on the certifications and representations contained in this Certificate. In the event of any breach of the representations or certifications contained herein, the non-breaching Party shall be entitled to pursue all remedies available at law or in equity, including specific performance and injunctive relief.

6. INDEMNIFICATION

Each Party agrees to indemnify, defend and hold harmless the other Party and its Affiliates from and against any and all losses, liabilities, claims, damages and expenses (including reasonable attorneys' fees) arising out of or resulting from any breach of the representations, warranties or certifications made by such Party in this Certificate.

7. NOTICES

All notices, requests, consents and other communications required or permitted to be given under this Certificate shall be in writing and shall be delivered to the addresses set forth below or to such other address as a Party may designate by notice in accordance with this Section.

8. GOVERNING LAW

This Certificate shall be governed by and construed in accordance with the laws of the jurisdiction selected by the Parties below without regard to its conflicts of law principles:
