LEGAL AGREEMENT PROPOSAL

This Legal Agreement Proposal (the Proposal) is entered into as of Effective Date: by and between Client Name: , Entity Type: Corporation LLC Individual, with principal address: (Client), and Service Provider Name: , Entity Type: Corporation LLC Individual, with principal address: (Provider). Client and Provider are each a Party and collectively the Parties.

Recitals

WHEREAS, Client desires to engage Provider to perform the services described in this Proposal and Provider is willing to provide such services on the terms and conditions set forth below;

WHEREAS, Provider has represented to Client that it possesses the necessary experience, qualifications, personnel and resources to perform the agreed services in a professional manner;

WHEREAS, the Parties wish to set forth the scope, timeline, fees and other material terms in this Proposal to govern the relationship between the Parties.

NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein, the Parties agree as follows:

1. Scope of Services

Provider shall perform the services described in the attached Statement of Work (SOW) or, if no separate SOW is attached, as described in the following summary: . Services shall include, without limitation, the tasks, milestones and deliverables expressly set forth below.

2. Fees and Payment

Client shall pay Provider for the performance of Services the total fees set forth below and any approved reimbursable expenses. Fees: . Payment schedule: .

3. Term and Termination

The term of this Proposal shall commence on Start Date: and shall continue until Completion Date: , unless earlier terminated in accordance with this Section. Either Party may terminate for convenience upon providing written notice of termination to the other Party not less than days prior to the effective date of termination.

Either Party may terminate this Proposal immediately upon written notice if the other Party materially breaches any representation, warranty, or obligation hereunder and fails to cure such breach within 15 days after receipt of written notice specifying the breach.

4. Confidentiality

Each Party shall hold in confidence all Confidential Information disclosed by the other Party and shall not use or disclose such Confidential Information except as necessary to perform the Services or as required by law. “Confidential Information” includes all non-public information designated as confidential or that a reasonable person would understand to be confidential under the circumstances. Confidentiality obligations shall survive termination for a period of three (3) years.

5. Intellectual Property

Unless otherwise agreed in writing, Provider shall retain ownership of its pre-existing intellectual property and tools. Subject to Client’s payment in full of all fees due hereunder, Provider assigns to Client all right, title and interest in and to deliverables created specifically for Client pursuant to this Proposal, and Provider hereby irrevocably transfers all rights necessary for Client’s exploitation of such deliverables. Provider represents that deliverables will not infringe third-party rights.

6. Representations and Warranties

Each Party represents and warrants that it has the authority to enter into this Proposal and to perform its obligations hereunder. Provider further warrants that the Services will be performed in a professional and workmanlike manner consistent with industry standards.

7. Indemnification and Limitation of Liability

Provider shall indemnify and hold harmless Client from and against any third-party claims arising from Provider’s gross negligence, willful misconduct or material breach of this Proposal. Client shall indemnify Provider from claims arising from Client’s negligence or breach. Except for liability arising from willful misconduct or indemnification obligations, neither Party’s aggregate liability shall exceed or the total fees paid under this Proposal, whichever is greater.

8. Insurance

Provider shall maintain and, upon request, furnish evidence of insurance coverage sufficient to cover its obligations under this Proposal, including commercial general liability and professional liability in amounts no less than per occurrence.

9. Notices

All notices required or permitted under this Proposal shall be in writing and delivered to the addresses set forth below or to such other address as a Party may designate by notice. Notices shall be deemed given upon delivery if delivered in person or by confirmed electronic transmission, or three (3) days after deposit in the United States mail, postage prepaid.

10. Amendments; Waiver; Severability

This Proposal may be amended only by a written instrument executed by authorized representatives of both Parties. No failure or delay by either Party in exercising any right will operate as a waiver. If any provision of this Proposal is held invalid or unenforceable, the remaining provisions will remain in full force and effect, and the Parties shall negotiate in good faith to replace the invalid provision with one that achieves the original intent as nearly as possible.

11. Governing Law; Entire Agreement; Counterparts

This Proposal shall be governed by and construed in accordance with the laws of the State of without regard to conflict of laws principles. This Proposal constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior discussions and agreements. This Proposal may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one instrument.

12. Acceptance of Proposal

Acceptance of this Proposal by Client shall occur upon Client’s signature of this document below and return to Provider. Upon acceptance, Provider will commence the Services consistent with the start date set forth herein or as otherwise mutually agreed.
