LEGAL AGREEMENT RENEWAL

This Legal Agreement Renewal (the "Renewal") is made as of by and between Client Name: (hereinafter "Client"), a(n) organized under the laws of , and Service Provider Name: (hereinafter "Provider"), a(n) organized under the laws of . Client and Provider are collectively referred to as the "Parties."

RECITALS

WHEREAS, the Parties entered into an original agreement entitled dated (the "Original Agreement"); and

WHEREAS, the Parties desire to renew and extend certain terms of the Original Agreement upon the terms and conditions set forth in this Renewal; and

WHEREAS, capitalized terms used but not defined in this Renewal shall have the meanings given to them in the Original Agreement unless the context requires otherwise.

NOW, THEREFORE, in consideration of the mutual covenants contained herein and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Parties agree as follows:

1. RENEWAL AND EXTENSION

1.1 Renewal. Subject to the terms and conditions of this Renewal, the term of the Original Agreement is hereby renewed and extended for an additional period of commencing on (the "Renewal Term").

1.2 Effect on Termination. Except as expressly provided herein, the Renewal shall not alter any rights of termination set forth in the Original Agreement; however, upon a valid termination in accordance with the Original Agreement during the Renewal Term, this Renewal shall terminate concurrently with the Original Agreement.

2. CONSIDERATION; PAYMENT TERMS

2.1 Consideration. In consideration for the Renewal, Client agrees to pay Provider the amounts set forth below and Provider agrees to continue performance in accordance with the Original Agreement as amended by this Renewal.

3. REPRESENTATIONS AND WARRANTIES

3.1 Mutual Representations. Each Party represents and warrants that: (a) it is duly organized, validly existing and in good standing under the laws of the jurisdiction set forth above; (b) it has full power and authority to enter into and perform its obligations under this Renewal; and (c) the execution and delivery of this Renewal has been duly authorized by all necessary corporate or organizational action.

3.2 Continuing Effect. All representations and warranties made in the Original Agreement shall survive and remain in full force and effect during the Renewal Term to the extent they relate to facts existing as of the effective date of this Renewal.

4. EFFECT OF ORIGINAL AGREEMENT

4.1 Incorporation. Except as explicitly modified by this Renewal, the Original Agreement remains in full force and effect and is hereby ratified and confirmed. To the extent of any conflict between the terms of the Original Agreement and this Renewal, the terms of this Renewal shall control.

4.2 No Waiver. Neither Party's performance of, or failure to insist upon strict performance of, any provision of the Original Agreement or this Renewal shall constitute a waiver of that Party's right to require performance in the future.

5. TERMINATION

5.1 Termination Rights. The Parties' respective rights of termination under the Original Agreement are expressly preserved. In addition, either Party may terminate this Renewal for material breach by the other Party if such breach remains uncured after the notice and cure periods provided in the Original Agreement.

6. NOTICES

6.1 Manner of Notice. All notices, requests, consents, claims, demands, waivers and other communications hereunder shall be in writing and shall be delivered to the Parties at the addresses set forth below (or to such other address as a Party may designate by written notice).

7. AMENDMENTS; WAIVER

7.1 Amendments. This Renewal may be amended only by a written instrument executed by authorized representatives of both Parties. Any attempted amendment that is not in writing and executed shall be null and void.

7.2 Waiver. No waiver by either Party of any breach or default shall be deemed to be a waiver of any other breach or default or of any subsequent breach or default.

8. GOVERNING LAW; DISPUTE RESOLUTION

8.1 Governing Law. This Renewal shall be governed by and construed in accordance with the laws of the State of , without regard to conflict of law principles.

8.2 Remedies. Except as otherwise provided in the Original Agreement, the Parties acknowledge that damages may be an inadequate remedy for breach and that the non-breaching Party shall be entitled to seek specific performance, injunctive relief, or other equitable relief in addition to any other remedies available at law or in equity.

9. MISCELLANEOUS

9.1 Entire Agreement. This Renewal, together with the Original Agreement and any documents expressly incorporated herein, constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, representations and understandings of the Parties, whether written or oral, relating to such subject matter.

9.2 Severability. If any provision of this Renewal is held to be invalid, illegal or unenforceable in any respect by a court of competent jurisdiction, the remainder of this Renewal shall remain in full force and effect and the invalid provision shall be reformed to the minimum extent necessary to make it enforceable.

9.3 Counterparts. This Renewal may be executed in counterparts, each of which shall be deemed an original, and all of which together shall constitute one and the same instrument. Delivery of an executed counterpart by electronic transmission shall be effective as delivery of an original.
