RECITALS

For purposes of this Request, the following definitions apply: "Agreement" means the final written contract to be drafted; "Effective Date" means the date upon which the Agreement will commence as specified in Section 3 below; "Confidential Information" means the non-public information disclosed in connection with negotiation or performance of the Agreement.

The parties request that the Agreement include a mutual confidentiality provision protecting Confidential Information disclosed prior to and during the term of the Agreement. Confidential Information shall not include information that is independently developed, publicly known through no breach, or rightfully received from a third party. The parties further request appropriate data protection and security obligations where personal data or sensitive information is processed.

9. GOVERNING LAW; ENTIRE AGREEMENT; SEVERABILITY

The parties request that the Agreement include a governing law provision selecting the jurisdiction that is commercially reasonable to both parties. The Agreement shall state that it constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior understandings. If any provision is held invalid or unenforceable, such provision shall be reformed to the maximum extent permitted and the remaining provisions shall remain in full force.

10. AMENDMENTS; WAIVER; COUNTERPARTS

The Agreement should provide that any amendment must be in writing and signed by authorized representatives of both parties, that waiver of any breach shall not constitute waiver of subsequent breaches, and that the Agreement may be executed in counterparts, each of which shall be deemed an original and together constitute one instrument.
