LEGAL AGREEMENT SUPPLEMENT

This Legal Agreement Supplement ("Supplement") is entered into effective as of , by and between Client Name: and Provider Name: (each a "Party" and collectively the "Parties").

RECITALS

WHEREAS, the Parties previously entered into a written agreement titled Master Agreement: dated (the "Master Agreement");

WHEREAS, the Parties desire to amend and supplement certain provisions of the Master Agreement as set forth in this Supplement, and to establish the priority of the modifications set forth herein;

WHEREAS, capitalized terms used but not defined in this Supplement have the meanings assigned to them in the Master Agreement unless otherwise provided herein.

NOW, THEREFORE, in consideration of the mutual covenants and agreements contained in this Supplement and other good and valuable consideration, the Parties agree as follows:

1.1 For purposes of this Supplement, the following definitions apply. Terms defined in the Master Agreement retain their defined meanings unless expressly modified by this Supplement. Additional defined terms specific to this Supplement are set forth below.

2.1 Subject to the terms of this Supplement, the Master Agreement is hereby amended by deleting, modifying or adding the provisions set forth in Section 2.2 and any exhibits attached to this Supplement. Except as expressly modified by this Supplement, the Master Agreement remains in full force and effect.

3. EFFECT ON OTHER PROVISIONS

3.1 To the extent of any conflict between the terms of this Supplement and the Master Agreement, the terms of this Supplement shall control. All other provisions of the Master Agreement remain unchanged and shall be enforceable in accordance with their terms.

4. PAYMENT, FEES, AND ALLOCATION OF COSTS

4.1 Payment Terms: Any changes to pricing, fees, or payment schedule are set forth below. Unless otherwise stated herein, invoicing and payment shall follow the procedures in the Master Agreement.

5. TERM AND TERMINATION

5.1 Term: The provisions of this Supplement shall commence on the effective date set forth above and shall continue in effect as specified below unless earlier terminated in accordance with this Section or the Master Agreement.

5.2 Termination: Except as otherwise provided herein, either Party may terminate this Supplement in accordance with the termination provisions of the Master Agreement. Termination of the Master Agreement shall terminate this Supplement simultaneously unless the Parties expressly agree otherwise in writing.

6. CONFIDENTIALITY

6.1 All Confidential Information exchanged in connection with the Master Agreement shall remain subject to the confidentiality obligations set forth in the Master Agreement. This Supplement does not reduce or waive any confidentiality obligations and, where stricter, the terms of this Supplement shall apply.

7. REPRESENTATIONS; WARRANTY

7.1 Each Party represents and warrants that: (a) it has the full power and authority to enter into and perform its obligations under this Supplement; (b) execution and delivery of this Supplement and the performance of its obligations do not violate any applicable law or agreement to which it is subject; and (c) the individuals signing below are duly authorized to bind the respective Party.

8. INDEMNIFICATION

8.1 Each Party shall indemnify, defend and hold harmless the other Party from and against any losses, liabilities, costs and expenses arising out of or relating to any breach of this Supplement or the performance of obligations hereunder, subject to any limitations set forth in the Master Agreement.

9. LIMITATION OF LIABILITY

9.1 Except as expressly provided in this Supplement or as prohibited by applicable law, neither Party shall be liable to the other for special, incidental, consequential or punitive damages arising from this Supplement.

10. NOTICES

10.1 All notices, requests, consents, demands and other communications required or permitted under this Supplement shall be given in writing and delivered to the addresses set forth below or to such other address as a Party may designate in writing in accordance with this Section.

11. AMENDMENT; WAIVER

11.1 This Supplement may be amended only by a written instrument executed by authorized representatives of both Parties. No failure or delay by either Party in exercising any right constitutes a waiver of that right unless a written waiver is executed by the waiving Party.

12. GOVERNING LAW

12.1 This Supplement shall be governed by and construed in accordance with the laws of the jurisdiction selected below, without regard to its conflict of law principles.

13. ENTIRE AGREEMENT

13.1 This Supplement, together with the Master Agreement, constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings and communications relating thereto.

14. SEVERABILITY

14.1 If any provision of this Supplement is held invalid, illegal or unenforceable, the remaining provisions shall continue in full force and effect, and the Parties shall negotiate in good faith to replace the invalid provision with a valid provision that achieves, to the extent possible, the original economic, legal and commercial objectives of the invalid provision.

15. COUNTERPARTS

15.1 This Supplement may be executed in two or more counterparts, each of which shall be deemed an original and all of which together shall constitute one and the same instrument. Signatures transmitted by electronic means shall be effective to bind the signatory.
