LEGAL AMENDED PLAN

Recitals

WHEREAS, the Sponsor established and maintains a written plan identified as Plan Name: (the "Plan"), which governs the terms and conditions of employee benefits provided to eligible participants; and

3. Effective Date and Application

Except as otherwise provided herein, the amendments set forth in this Amendment shall be effective as of the Effective Date stated above and shall apply prospectively to events occurring on or after such Effective Date. To the extent specified within an amendment, an amendment may have retroactive effect only to the extent expressly provided and permitted by applicable law.

4. Administration and Interpretation

The Plan Administrator shall have full authority and discretion to administer and interpret this Amendment and the Plan as amended, including but not limited to the interpretation of terms, determination of eligibility, claim determinations, calculation of benefits, and resolution of ambiguities. Such determinations shall be final and binding on all parties, except to the extent otherwise required by law.

5. Fiduciary Responsibilities

The parties acknowledge and reaffirm that any person or entity acting as a fiduciary with respect to the Plan shall continue to owe fiduciary duties under applicable law and the Plan. Nothing in this Amendment shall be construed to relieve a fiduciary of any duty imposed by law.

6. Compliance with Law

The parties shall construe and administer the Plan, as amended by this Amendment, in a manner consistent with applicable law. If any provision of this Amendment conflicts with such law, the conflicting provision shall be amended or severed to the minimum extent necessary to achieve compliance, and the remainder of the Amendment shall remain in full force and effect.

7. Notices

All notices, requests, consents and other communications required or permitted under this Amendment shall be in writing and shall be delivered to the addresses set forth below or to such other address as a party may designate by notice in accordance with this Section.

8. Amendments and Waiver

This Amendment may be amended only by a written instrument executed by authorized representatives of both parties. No waiver of any provision hereof shall be effective unless in writing and signed by the party against whom enforcement is sought; no waiver of any breach or default shall constitute a waiver of any subsequent breach or default.

9. Governing Law

This Amendment shall be governed by and construed in accordance with the laws of the State of without regard to choice of law principles that would result in the application of the laws of any other jurisdiction.

10. Entire Agreement

Except as expressly amended hereby, the Plan remains in full force and effect. This Amendment, together with the Plan and any prior amendments, constitutes the entire agreement of the parties with respect to the subject matter hereof and supersedes all prior agreements and understandings relating thereto.

11. Severability

If any provision of this Amendment is held to be invalid, illegal or unenforceable in any respect, the validity, legality and enforceability of the remaining provisions shall not be affected or impaired thereby, and the parties shall endeavor in good faith to replace the invalid, illegal or unenforceable provision with a valid provision that achieves, to the extent possible, the original economic, business and other purposes of the invalid, illegal or unenforceable provision.

12. Counterparts; Electronic Execution

This Amendment may be executed in any number of counterparts, each of which shall be deemed an original and all of which together shall constitute one instrument. Signatures transmitted by electronic means shall be deemed originals for all purposes.
