8. GOVERNING LAW

This Amendment shall be governed by and construed in accordance with the internal laws of the State/Jurisdiction specified for governing law: without regard to principles of conflicts of law.

9. ENTIRE AGREEMENT

This Amendment, together with the Current Instrument and any exhibits or schedules attached hereto, constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written, regarding such subject matter.

10. SEVERABILITY

If any provision of this Amendment is held to be invalid, illegal or unenforceable in any respect by a court of competent jurisdiction, the validity, legality and enforceability of the remaining provisions shall not in any way be affected or impaired thereby, and the Parties shall negotiate in good faith to replace the invalid or unenforceable provision with a valid and enforceable provision that effectuate the Parties' intent to the greatest extent possible.

11. AMENDMENTS; WAIVER

No amendment, modification or waiver of any provision of this Amendment shall be effective unless in writing and signed by each Party against whom enforcement of the amendment, modification or waiver is sought. No failure or delay by any Party in exercising any right shall operate as a waiver of that right.

12. COUNTERPARTS

This Amendment may be executed in one or more counterparts, each of which shall be deemed an original and all of which together shall constitute one and the same instrument. Signatures delivered by electronic transmission shall be effective as originals.
