Except to the extent arising from willful misconduct or gross negligence, neither party shall be liable for incidental, consequential, or punitive damages arising from the publication of the announcement.

6.1 Each party (the "Indemnifying Party") agrees to indemnify and hold harmless the other party and its officers, directors, employees, and agents from and against any claims, losses, damages, liabilities, costs and expenses (including reasonable attorneys' fees) arising out of or resulting from (a) any breach of the representations, warranties, or covenants contained in this Form, or (b) any unapproved misstatement of fact in the announcement that causes harm to the other party.
