RECITALS

1. DEFINITIONS

For purposes of this Form, the following terms have the meanings set forth below. "Consents" means the permissions and authorizations granted by Consenting Party under Section 2. "Affiliates" means any entity that Controls, is Controlled by, or is under common Control with a party. "Control" means the ownership of more than 50% of voting interests.

2. CONSENTS GRANTED

The Consenting Party hereby grants the following consents to the Company for the Term specified in Section 4. Each checked item below constitutes a separate consent subject to the terms of this Form.

Consent to electronic delivery and receipt of notifications, disclosures, invoices and other communications related to the Company's products or services. The Consenting Party acknowledges that electronic communications shall be deemed received when transmitted by the Company to the contact information provided in Section 6.

Consent to background, identity and reference checks, including verification of education, employment and professional licenses, where permitted by law. The Consenting Party authorizes the Company and its agents to obtain such information and to rely upon the results.

Consent to disclosure of the Consenting Party's information to Affiliates, service providers, auditors and professional advisors for purposes related to administration, compliance, and provision of services, provided that such recipients are bound to protect the confidentiality of such information.

Consent to the Company's use of the Consenting Party's name, likeness, testimonials and case studies in marketing materials and publications, subject to any limitations set forth in the limitations field below.

3. REPRESENTATIONS AND WARRANTIES

The Consenting Party represents and warrants that: (a) the Consenting Party is the legal owner of the rights granted herein or otherwise has full authority to grant the consents; (b) the execution and performance of this Form do not violate any law, contract, or obligation of the Consenting Party; (c) all information provided to the Company is true, complete and not misleading as of the Effective Date; and (d) the Consenting Party will notify the Company promptly of any material change to information previously provided.

4. TERM AND RENEWAL

The consents granted under this Form commence on the Effective Date and, unless earlier revoked in accordance with Section 5, shall remain in effect for a period of one (1) year (the "Term"). Absent revocation, the consents will automatically renew for successive one (1) year periods unless either party provides written notice of non-renewal at least thirty (30) days prior to the expiration of the then-current Term.

5. REVOCATION

The Consenting Party may revoke any or all consents granted herein by delivering written notice to the Company in accordance with Section 6. Revocation shall be effective thirty (30) days after receipt by the Company, except that any action taken by the Company in reliance on a consent prior to the effective date of revocation shall remain lawful and not give rise to liability for the Company.

6. NOTICES

All notices or communications required or permitted under this Form shall be in writing and shall be delivered to the addresses set forth below or to such other address as a party may designate by written notice in accordance with this Section.

7. CONFIDENTIALITY; LIMITATION ON USE

Unless otherwise required by law, the Company will treat information disclosed by the Consenting Party as confidential and will not use such information except as necessary to exercise the rights granted herein. The Company may share Confidential Information with its Affiliates and service providers provided such recipients are subject to confidentiality obligations no less protective than those in this Section.

8. INDEMNIFICATION

The Consenting Party shall indemnify, defend and hold harmless the Company, its Affiliates and their respective officers, directors, employees and agents from and against any and all losses, damages, liabilities, claims, costs and expenses (including reasonable attorneys' fees) arising out of or resulting from (a) any breach of the Consenting Party's representations or warranties under this Form, or (b) any unauthorized use or disclosure by the Consenting Party of information that causes harm to the Company.

9. LIMITATION OF LIABILITY

EXCEPT FOR A PARTY'S FRAUD, GROSS NEGLIGENCE OR WILLFUL MISCONDUCT, IN NO EVENT SHALL EITHER PARTY BE LIABLE FOR ANY SPECIAL, INCIDENTAL, CONSEQUENTIAL OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO THIS FORM, REGARDLESS OF THE THEORY OF LIABILITY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

10. GOVERNING LAW

This Form shall be governed by and construed in accordance with the laws of the State of , without regard to its conflict of laws principles.

11. ENTIRE AGREEMENT; SEVERABILITY
