1. ACKNOWLEDGMENT OF PERFORMANCE

1.1 Obligor hereby acknowledges and certifies that, to the best of its knowledge and belief, Obligor has performed, completed, or otherwise achieved compliance with the specific obligations set forth in the Underlying Obligation as described below:

1.2 Obligor affirms that all reports, notices, permits and other documentation required by the Underlying Obligation have been submitted to the extent required and that any outstanding items are identified in Section 1.3 below.

2. REPRESENTATIONS AND WARRANTIES

2.1 Each party represents and warrants that it has full power and authority to enter into and perform this Agreement and that the person signing on its behalf is duly authorized to bind such party.

2.2 Obligor specifically warrants that all facts set forth in the Description of obligations and Outstanding items are true, complete and accurate as of the Effective Date and that no material information has been omitted which would render such statements misleading.

3. CERTIFICATION, EVIDENCE, AND RECORDS

3.1 Upon request, Obligor shall provide to Obligee, within a commercially reasonable time, copies of documentary evidence reasonably necessary to substantiate the certifications made herein, including but not limited to invoices, receipts, permits, reports, or third-party certifications.

3.2 Obligor acknowledges that Obligee may rely upon the representations and supporting documents, and that intentional misrepresentation or material omission shall constitute a breach entitling Obligee to the remedies set forth in Section 4.

4. REMEDIES

4.1 In the event of a breach of this Agreement by Obligor, Obligee may pursue any remedies available at law or in equity, including without limitation specific performance, injunctive relief, and recovery of damages, including costs and reasonable attorneys' fees incurred in enforcing this Agreement.

4.2 No remedy conferred by this Agreement is intended to be exclusive of any other remedy, but each shall be cumulative and in addition to every other remedy.

5. INDEMNIFICATION

Obligor shall defend, indemnify and hold harmless Obligee and its officers, directors, agents and employees from and against any and all claims, liabilities, losses, costs and expenses, including reasonable attorneys' fees, arising out of or resulting from any breach of the representations, warranties or obligations set forth in this Agreement.

6. NOTICES

All notices, requests, consents and other communications required or permitted under this Agreement shall be in writing and shall be delivered to the addresses set forth below by hand delivery, nationally recognized overnight courier, certified mail (return receipt requested), or email where the parties have expressly agreed to electronic notice. Notice is effective upon receipt.

7. AMENDMENTS; WAIVER; COUNTERPARTS

7.1 This Agreement may be amended only by a written instrument executed by both parties. No waiver of any provision shall be effective unless in writing and signed by the waiving party.

7.2 This Agreement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one and the same instrument. Signatures transmitted by electronic means that reproduce a handwritten signature shall be deemed original signatures.

8. GOVERNING LAW; ENTIRE AGREEMENT; SEVERABILITY

8.1 Governing Law. This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to conflicts of law principles.

8.2 Entire Agreement. This Agreement, together with any documents expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, whether written or oral.

9.1 Binding Effect. This Agreement shall be binding upon and inure to the benefit of the parties hereto and their respective successors and permitted assigns.

9.2 Independent Parties. The parties are independent contractors and nothing in this Agreement shall be construed to create a partnership, joint venture, agency, or employment relationship between them.

Obligee's acceptance of this acknowledgment does not waive any rights or remedies it may have under the Underlying Obligation.
