RECITALS

WHEREAS, Principal desires to appoint Agent as Principal's agent of record to perform specified administrative and representative duties on behalf of Principal with respect to matters described in this Agreement; and

WHEREAS, Agent is willing and able to accept such appointment and to perform such duties subject to the terms and conditions set forth herein.

NOW, THEREFORE, in consideration of the mutual covenants contained herein and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:

1. APPOINTMENT

1.1 Appointment. Principal hereby appoints Agent as Principal's agent of record, and Agent accepts such appointment, to act on behalf of Principal with respect to the scope of authority set forth in Section 2. Such appointment is limited to the express authority granted in this Agreement and does not create a partnership or joint venture.

2. AUTHORITY AND SCOPE

2.1 Scope of Authority. Agent shall have authority to act as agent of record for the following matters: administrative representation, receipt of notices, communications with third parties, execution of non-substantive documents reasonably necessary to effectuate the appointment, and other activities specifically described below.

3. TERM; TERMINATION

3.1 Term. This Agreement shall commence on the effective date set forth above and shall continue in force until terminated as provided herein.

3.2 Termination. Either party may terminate this Agreement for convenience upon thirty (30) days' prior written notice to the other party. Termination shall not relieve either party of obligations accrued prior to the effective date of termination.

4. AGENT'S DUTIES

Agent shall exercise reasonable care, skill, and diligence in performing the duties under this Agreement, comply with all applicable laws and regulations in carrying out activities under this Agreement, and promptly disclose to Principal any conflicts of interest that arise during the term of this Agreement.

5. PRINCIPAL REPRESENTATIONS AND WARRANTIES

Principal represents and warrants that Principal has full power and authority to appoint Agent and to perform its obligations under this Agreement, that the execution and delivery of this Agreement and the performance of the obligations hereunder have been duly authorized by all necessary action, and that this Agreement constitutes a valid and binding obligation of Principal enforceable in accordance with its terms.

6. COMPENSATION

Unless otherwise agreed in writing, Agent's compensation shall be as set forth above. Principal shall reimburse Agent for reasonable out-of-pocket expenses incurred in connection with the performance of duties under this Agreement upon presentation of documentation.

7. CONFIDENTIALITY

Agent shall keep confidential all non-public information received from Principal in connection with this Agreement and shall not disclose such information except (a) as required by law, (b) with Principal's prior written consent, or (c) to Agent's employees or subcontractors who have a need to know and who are bound by confidentiality obligations at least as protective as those set forth herein.

8. INDEMNIFICATION AND LIABILITY

8.1 Indemnification. Each party (Indemnitor) shall indemnify, defend and hold harmless the other party (Indemnitee) from and against any and all claims, liabilities, losses, damages, costs and expenses (including reasonable attorneys' fees) arising out of the Indemnitor's breach of this Agreement, negligence or willful misconduct.

8.2 Limitation of Liability. Except for liability arising from gross negligence, willful misconduct or indemnification obligations, neither party shall be liable to the other for consequential, incidental, punitive or exemplary damages.

9. NOTICES

All notices, demands or other communications required or permitted to be given under this Agreement shall be in writing and delivered to the addresses set forth below, by personal delivery, certified mail (return receipt requested), or overnight courier, and shall be deemed given upon receipt.

10. AMENDMENTS; WAIVER

No amendment or modification of this Agreement shall be effective unless made in writing and signed by both parties. No waiver of any provision or breach shall be effective unless in writing and signed by the party granting the waiver.

11. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of , without regard to its conflict of laws principles.

12. ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, representations and understandings, whether written or oral.

13. SEVERABILITY

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall continue in full force and effect and the parties shall negotiate in good faith a lawful provision to replace the invalid or unenforceable provision that most closely effects the parties' original intent.

14. COUNTERPARTS

This Agreement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one and the same instrument. Signatures delivered by electronic transmission shall be valid and binding.
