LEGAL APPOINTMENT OF AGENT FORM

RECITALS

WHEREAS, Principal desires to appoint Agent to act on Principal's behalf with respect to certain business, financial, and legal matters described herein; and

WHEREAS, Agent has consented to act in such capacity and to accept the duties and responsibilities set forth in this Appointment; and

WHEREAS, the parties intend that the powers conferred by this Appointment be construed broadly to give Agent the authority necessary to accomplish the purposes set forth below, subject to the limitations expressly stated.

NOW, THEREFORE, in consideration of the mutual covenants contained herein, Principal appoints Agent and Agent accepts such appointment on the terms and conditions set forth below.

1. APPOINTMENT

1.1 Appointment. Principal hereby appoints Agent as Principal's agent and attorney-in-fact to perform, on behalf of Principal, those acts described in Section 2 (the "Authorized Acts") and to exercise the powers granted in this Appointment, subject to the limitations and duties set forth herein.

2. SCOPE AND AUTHORITY

2.1 General Grant. Agent is authorized to take any action that is reasonably necessary or incidental to the Authorized Acts identified below, including executing, delivering, modifying and terminating documents; appearing before governmental and private entities; and making decisions on Principal's behalf consistent with the scope of this Appointment.

3.1 Prohibited Acts. Unless expressly authorized in writing, Agent shall not: (a) make or revoke a will or codicil for Principal; (b) make gifts of Principal's property; (c) change beneficiary designations on any insurance or retirement plan; or (d) delegate the Agent's authority except as permitted by law or this Appointment.

5. DUTIES AND STANDARDS OF CARE

5.1 Fiduciary Duty. Agent shall act in good faith, in Principal's best interests, with reasonable care, and in accordance with applicable law. Agent shall avoid conflicts of interest and disclose any material conflict in writing to Principal.

5.2 Records and Accounting. Agent shall maintain accurate records of all transactions undertaken on behalf of Principal and shall provide an accounting upon reasonable request or upon termination of this Appointment.

6. COMPENSATION AND EXPENSES

8. LIABILITY, INDEMNIFICATION AND RELIANCE

8.1 Standard of Liability. Agent shall not be liable for losses resulting from actions taken in good faith and according to this Appointment, except for losses resulting from Agent's gross negligence, willful misconduct or material breach of this Appointment.

8.2 Indemnification. Principal shall indemnify and hold Agent harmless from and against any and all liabilities, losses, claims and expenses (including reasonable attorneys' fees) incurred by Agent in connection with the performance of Agent's duties, except to the extent resulting from Agent's gross negligence, willful misconduct or material breach.

8.3 Reliance by Third Parties. Third parties may rely upon a copy of this Appointment and upon the representations of Agent identifying themselves as Agent without further inquiry. Principal agrees to be bound by actions taken by Agent within the scope of the authority granted herein.

9. REVOCATION AND TERMINATION

9.1 Revocation. Principal may revoke this Appointment at any time by providing written notice of revocation to Agent. Revocation shall not affect actions taken by Agent in reliance on this Appointment prior to receipt of such notice by third parties.

9.2 Termination by Agent. Agent may resign by providing reasonable written notice to Principal and, if applicable, to third parties reasonably expected to rely on this Appointment, and shall take reasonable steps to avoid foreseeable harm to Principal during the transition.

10. NOTICES

Notices shall be deemed given when received in writing at the addresses above, or at such other address as a party may designate by written notice to the other.

11. GOVERNING LAW

This Appointment shall be governed by and construed in accordance with the laws of the State of , without regard to conflict of laws principles.

12. ENTIRE AGREEMENT

This Appointment contains the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, representations and warranties, whether written or oral.
