LEGAL APPROVAL RIDER

This Legal Approval Rider ("Rider") is made effective as of by and between Client Name: and Provider Name: . This Rider supplements and amends the agreement entitled dated (the "Agreement").

RECITALS

WHEREAS, the parties desire to establish a procedure by which proposed actions, documents, materials, or settlements that could create legal exposure, bind a party, or affect intellectual property or public statements will receive prior legal review and express approval; and

WHEREAS, the parties intend that this Rider define the scope, standards, timelines, and remedies applicable to requests for legal approval in connection with the Agreement; and

WHEREAS, the parties agree that adherence to the approval procedures set forth herein is a material condition to the performance of certain obligations under the Agreement.

NOW, THEREFORE, in consideration of the mutual covenants set forth herein and other good and valuable consideration, the receipt and sufficiency of which are acknowledged, the parties agree as follows:

1. DEFINITIONS

For purposes of this Rider, "Approval Materials" means any draft or final document, marketing or promotional material, press release, public statement, settlement term sheet, amendment to a contract, license, release, or any instrument that by its execution or dissemination could reasonably be expected to create legal obligations or publicity concerning a party. 2. SCOPE OF LEGAL APPROVAL

Except as otherwise expressly provided in the Agreement, neither party shall publish, execute, authorize, or otherwise permit the use or dissemination of Approval Materials without prior written legal approval of the other party in accordance with this Rider. Legal approval is required for the following categories (check all that apply):

Amendments, settlements, or releases that alter legal obligations
Use of name, logo, trademark, or trade dress
Press releases or public statements referencing the other party
Promotional or marketing materials containing statements about the other party
Assignment or delegation of rights or obligations

3. APPROVAL PROCEDURES

Submission. A party seeking approval (the "Submitting Party") shall deliver to the other party's designated legal representative complete Approval Materials and a written cover letter describing: (a) the nature of the request; (b) any deadlines; and (c) the proposed text, form, or action. The Submitting Party shall deliver materials to:

Response Time. The receiving party shall respond in writing within business days of receipt, either (a) granting approval; (b) granting approval subject to specified revisions; or (c) withholding approval with a written explanation of the legal basis for withholding. If the receiving party fails to respond within such period and the parties have expressly elected that failure constitutes consent, then the materials shall be deemed approved after calendar days.

Emergency Approval. If a shorter timeline is required due to a material external deadline, the Submitting Party shall notify the receiving party in writing of the urgency and propose an expedited review schedule. The receiving party shall use commercially reasonable efforts to comply with such request.

4. APPROVAL STANDARDS

Approval shall not be unreasonably withheld when the Approval Materials (a) comply with applicable law; (b) do not materially increase the legal or financial exposure of the non-submitting party; and (c) do not misrepresent the other party's relationship, endorsement, or performance. The receiving party may condition approval on the inclusion of reasonable protective language, disclaimers, or negotiated edits.

5. REPRESENTATIONS AND WARRANTIES

Each party represents and warrants that it has full corporate power and authority to enter into this Rider and to perform its obligations hereunder, and that execution and delivery of this Rider has been duly authorized by all necessary corporate or organizational action.

6. INDEMNIFICATION

Each party (the "Indemnifying Party") shall indemnify, defend and hold harmless the other party (the "Indemnified Party") from and against any and all losses, claims, liabilities, costs and expenses (including reasonable attorneys' fees) arising out of or resulting from (a) the Indemnifying Party's failure to obtain required legal approval pursuant to this Rider; or (b) any material misrepresentation made in Approval Materials by the Indemnifying Party.

7. CONFIDENTIALITY

All Approval Materials submitted under this Rider shall be treated as Confidential Information of the Submitting Party to the extent permitted by the Agreement. The receiving party shall not disclose submitted materials to third parties except as required by law or as reasonably necessary to obtain internal approvals, and shall use at least the same degree of care as it uses to protect its own confidential information.

8. NOTICES

All notices, requests, consents and other communications required or permitted under this Rider shall be in writing and will be delivered to the addresses set forth below or to such other address as a party designates by written notice delivered in accordance with this section.

9. AMENDMENT AND WAIVER

No amendment, modification, or waiver of any provision of this Rider shall be effective unless in writing and signed by the party against whom enforcement is sought. The waiver by any party of any breach or default shall not constitute a waiver of any subsequent breach or default.

10. GOVERNING LAW

This Rider shall be governed by and construed in accordance with the laws of the State of without regard to its choice-of-law rules.

11. ENTIRE AGREEMENT

This Rider, together with the Agreement, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior discussions, negotiations, and understandings relating to the obligation to obtain legal approval.

12. SEVERABILITY

If any provision of this Rider is held to be invalid or unenforceable under applicable law, that provision shall be limited or eliminated to the minimum extent necessary so that this Rider shall otherwise remain in full force and effect and enforceable.

13. COUNTERPARTS

This Rider may be executed in counterparts, each of which shall be deemed an original, and all of which together shall constitute one and the same instrument. Signatures delivered by electronic means shall be binding for all purposes.

14. MISCELLANEOUS PROVISIONS

The remedies set forth in this Rider are cumulative and in addition to any other remedies available at law or in equity. Nothing in this Rider shall be construed to limit a party's right to seek injunctive or other equitable relief to prevent unauthorized disclosure, use, or publication of Approval Materials.
