LEGAL ASSESSMENT AGREEMENT

This Legal Assessment Agreement (the "Agreement") is entered into as of by and between Client Name: with principal address: and Assessment Provider Name: with principal address: .

RECITALS

WHEREAS, Client desires to obtain from Provider a legal assessment consisting of an evaluation of facts, documents and applicable law relating to: (the "Matter"); and

WHEREAS, Provider has the expertise and agrees to perform a discrete assessment and to deliver a written assessment report in accordance with the terms set forth herein; and

WHEREAS, the Parties wish to set forth their mutual understandings and the terms under which Provider will provide the assessment.

NOW, THEREFORE

In consideration of the mutual covenants set forth below, the Parties agree as follows:

1. DEFINITIONS

For the purposes of this Agreement, capitalized terms not otherwise defined have the meanings set forth herein. "Assessment" means the evaluation, analysis and written deliverables described in Section 2. "Confidential Information" means nonpublic information disclosed by either Party in connection with the Assessment as described in Section 5.

2. SCOPE OF ASSESSMENT

Provider shall perform a discrete legal assessment limited to the Matter and shall produce a written Assessment Report summarizing relevant facts, applicable legal authorities, identified risks, and recommended next steps. The Assessment does not include representation in litigation, transactional closing work, or regulatory filings unless separately agreed in writing.

Specific tasks to be performed:

Deliverable: Provider will deliver the Assessment Report by no later than , subject to timely receipt of documents and cooperation by Client.

3. FEES, EXPENSES AND PAYMENT

Unless otherwise agreed in writing, Provider shall invoice Client for the Assessment Fee and any approved expenses. All fees and expenses are due within thirty (30) days of invoice. Unpaid amounts shall bear interest at the lesser of 1.5% per month or the maximum permitted by law.

4. CONFIDENTIALITY

Each Party shall maintain in confidence all Confidential Information disclosed by the other Party and shall not disclose such information except to its employees, agents or professional advisers who have a need to know and who are bound by confidentiality obligations at least as protective as those herein. Confidential Information shall not include information that is or becomes publicly available other than by breach of this Agreement, already known to the recipient without restriction, or independently developed.

5. CONFLICTS; INDEPENDENCE

Provider represents that, to the best of its knowledge after reasonable inquiry, except as disclosed in writing to Client prior to execution, Provider has no conflict of interest that would preclude performance of the Assessment. If a conflict is discovered, Provider will promptly disclose it to Client and cooperate to resolve the matter in a commercially reasonable manner.

6. LIMITATIONS; NO CONTINUING REPRESENTATION

The Assessment and the Assessment Report are intended solely for Client's use with respect to the Matter. Provider's work product is not a substitute for legal advice on any additional issues and does not establish an ongoing attorney-client relationship beyond the limited Assessment described herein. Provider shall have no obligation to act for Client in any subsequent matter unless the Parties enter into a separate written agreement.

7. LIMITATION OF LIABILITY; INDEMNITY

Provider's aggregate liability to Client for any claims arising out of or related to this Agreement, whether in contract, tort (including negligence), strict liability or otherwise, shall not exceed the total fees actually paid to Provider under this Agreement. In no event shall Provider be liable for consequential, incidental, punitive or special damages.

Client agrees to indemnify, defend and hold harmless Provider from and against any third-party claims arising from Client's intentional misstatements, omissions of material fact to Provider, or Client's use of the Assessment Report beyond the scope contemplated by this Agreement.

8. TERM AND TERMINATION

This Agreement commences on the Effective Date and continues until delivery of the Assessment Report and payment of amounts due, unless earlier terminated as provided in this Section. Either Party may terminate for convenience upon ten (10) days' written notice. Upon termination, Client shall pay Provider for work performed to the date of termination and for reimbursable expenses incurred.

9. INTELLECTUAL PROPERTY

Provider retains all right, title and interest in its methodologies, templates, analyses and other pre-existing materials used in connection with the Assessment. Provider grants Client a non-exclusive, non-transferable license to use the Assessment Report solely for Client's internal purposes in connection with the Matter.

10. NOTICES

Notices under this Agreement shall be in writing and delivered to the contact information set forth above or such other address as a Party may specify in writing in accordance with this Section.

11. AMENDMENTS; WAIVER; COUNTERPARTS

No amendment to this Agreement shall be effective unless in a writing signed by both Parties. No failure or delay by either Party to exercise any right hereunder shall operate as a waiver of such right. This Agreement may be executed in counterparts, each of which shall be deemed an original and together constitute one instrument.

12. GOVERNING LAW; ENTIRE AGREEMENT; SEVERABILITY

This Agreement shall be governed by and construed in accordance with the laws of the state specified by the Parties: without regard to conflict of laws principles. This Agreement constitutes the entire agreement between the Parties with respect to the Assessment and supersedes all prior agreements and understandings, written or oral, relating to the subject matter hereof. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.

13. MISCELLANEOUS

Client acknowledges that Provider may retain copies of work product and file materials subject to any confidentiality obligations; however, Provider shall not be required to retain Client files beyond Provider's customary retention period.
