RECITALS

WHEREAS, Assignor is the owner of certain rights, title and interests described in Schedule A attached hereto and incorporated herein by reference (the "Assigned Rights"); and

WHEREAS, Assignor desires to sell, transfer and assign to Assignee, and Assignee desires to accept, all of Assignor's right, title and interest in and to the Assigned Rights upon the terms and conditions set forth herein; and

WHEREAS, the parties intend that this Agreement effect a present, absolute and irrevocable assignment of the Assigned Rights as set forth below.

NOW, THEREFORE, in consideration of the mutual covenants set forth herein and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:

1. ASSIGNMENT

1.1 Assignment. Subject to the terms and conditions of this Agreement, Assignor hereby irrevocably assigns, transfers and conveys to Assignee all of Assignor's right, title and interest in, to and under the Assigned Rights, whether accrued or contingent, known or unknown, and wherever located, to have and to hold forever. The Assigned Rights shall include, without limitation, all causes of action, claims, suits, demands, contracts, accounts, intellectual property rights, and other related rights described in Schedule A.

1.2 Scope. The parties intend that this conveyance be construed as a present and absolute assignment and not as a security interest. Assignor shall have no further right, title or interest in the Assigned Rights following the Effective Date.

2. CONSIDERATION

2.1 Consideration. In consideration for the assignment set forth in Section 1, Assignee shall pay to Assignor the sum of (the "Purchase Price") in accordance with the payment terms set forth below.

3. REPRESENTATIONS AND WARRANTIES

3.1 Assignor Representations. Assignor represents and warrants to Assignee that: (a) Assignor is the sole legal and beneficial owner of the Assigned Rights and has full power and authority to enter into and perform this Agreement; (b) the Assigned Rights are free and clear of any liens, security interests, encumbrances, adverse claims or restrictions other than those disclosed in writing to Assignee prior to the Effective Date; (c) no action, suit or proceeding is pending or, to Assignor's knowledge, threatened that would materially impair the Assigned Rights; and (d) Assignor has not previously assigned, pledged or otherwise transferred the Assigned Rights in any manner inconsistent with this Agreement.

3.2 Assignee Representations. Assignee represents and warrants that: (a) it has the full corporate power and authority to enter into and perform this Agreement; (b) it accepts the Assigned Rights subject to the express terms of this Agreement; and (c) it is not assuming any of Assignor's liabilities except as expressly set forth herein.

4. FURTHER ASSURANCES

Assignor shall, at Assignee's expense, execute and deliver such further instruments and take such further actions as may be reasonably necessary or desirable to effect, perfect, preserve and protect Assignee's rights hereunder, including without limitation executing assignments, powers of attorney, consents, and providing information and cooperation in any proceedings relating to the Assigned Rights.

5. INDEMNIFICATION

5.1 Assignor Indemnity. Assignor shall indemnify, defend and hold harmless Assignee and its affiliates from and against any and all losses, damages, liabilities, costs and expenses (including reasonable attorneys' fees) arising out of any breach of Assignor's representations, warranties or covenants contained in this Agreement or out of any claim that the Assigned Rights were encumbered or previously assigned contrary to the terms hereof.

5.2 Assignee Indemnity. Assignee shall indemnify and hold Assignor harmless from any claims arising from Assignee's post-assignment use or enforcement of the Assigned Rights, except to the extent caused by Assignor's breach of this Agreement.

6. NOTICES

All notices, requests, demands and other communications required or permitted under this Agreement shall be in writing and delivered to the parties at the addresses set forth below (or at such other address as a party may designate by notice in accordance with this Section).

7. GOVERNING LAW; VENUE

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to conflict of laws principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in that State for any dispute arising out of this Agreement.

8. COUNTERPARTS; ELECTRONIC SIGNATURES

This Agreement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one instrument. A facsimile, electronic image or other reproduction of a signature shall be deemed an original signature for all purposes.

9. ENTIRE AGREEMENT; AMENDMENT; WAIVER; SEVERABILITY

This Agreement, including Schedule A, constitutes the entire agreement of the parties with respect to the subject matter hereof and supersedes all prior agreements and understandings. No amendment, modification or waiver shall be effective unless in writing and executed by both parties. No failure or delay in exercising any right shall operate as a waiver of that right. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.

10. MISCELLANEOUS

10.1 Relationship of the Parties. The parties are independent contracting parties and nothing in this Agreement shall be deemed to create a partnership, joint venture or agency relationship.

10.2 Expenses. Except as otherwise provided herein, each party shall bear its own costs and expenses incurred in connection with the negotiation, execution and performance of this Agreement.
