Recitals

WHEREAS, Assignor is the party of record with certain rights, title, and interest arising under or relating to the agreement described below (the "Assigned Agreement"); and

WHEREAS, Assignor desires to assign, transfer and convey to Assignee all of Assignor's right, title and interest in and to the Assigned Agreement, and Assignee desires to accept such assignment subject to the terms set forth in this Notice; and

NOW, THEREFORE

In consideration of the mutual covenants and agreements contained herein and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:

1. Assignment

1.1 Assignment of Rights. Assignor hereby irrevocably assigns, transfers, and conveys to Assignee all of Assignor's right, title and interest in, to and under the Assigned Agreement and any and all sums, accounts, claims, causes of action, proceeds, rights of recovery and other benefits arising therefrom or incident thereto (collectively, the "Assigned Rights"), to have and to hold the Assigned Rights unto Assignee, its successors and permitted assigns, forever.

4. Assumption of Obligations

4.1 Assumption. Assignee agrees to assume and perform the obligations of Assignor under the Assigned Agreement to the extent expressly indicated below.

4.2 No Implied Assumption. Except as expressly provided in this Notice, nothing in this Notice shall be construed as an assumption by Assignee of any liabilities or obligations of Assignor unless expressly agreed in writing.

5. Representations and Warranties

Assignor represents and warrants to Assignee that: (a) Assignor is the lawful owner of the Assigned Rights, free and clear of any liens, encumbrances or adverse claims except as disclosed in writing to Assignee; (b) Assignor has the full right, power and authority to effectuate this assignment; and (c) to Assignor's knowledge, no event of default under the Assigned Agreement exists as of the Effective Date except as set forth in the Assigned Rights description. These representations survive the execution and delivery of this Notice.

6. Notice to Obligor

6.1 Notice Provided. Assignor hereby gives notice to Obligor that the Assigned Rights have been assigned to Assignee and that, from the Effective Date, payments, performance and communications relating to the Assigned Rights should be directed to Assignee at the address set forth below. Obligor is requested to update its records accordingly.

7. Notices

All notices, requests, demands and other communications required or permitted under this Notice shall be in writing and delivered to the addresses set forth below and shall be effective when received.

8. No Waiver; Remedies

No failure or delay by any party in exercising any right, power or privilege under this Notice shall operate as a waiver thereof. The remedies provided in this Notice are cumulative and not exclusive of any remedies provided by law.

9. Governing Law

This Notice shall be governed by and construed in accordance with the laws of the state of Governing State: without regard to its conflict of laws principles.

10. Entire Agreement

This Notice, together with the Assigned Agreement as described herein, contains the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous understandings, agreements, representations and warranties, both written and oral, with respect to such subject matter.

11. Severability

If any provision of this Notice is held to be invalid, illegal or unenforceable, the remaining provisions shall continue in full force and effect and shall be interpreted to carry out the intent of the parties as reflected herein.

12. Amendments; Counterparts

This Notice may be amended or supplemented only by a written instrument executed by both Assignor and Assignee. This Notice may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one and the same instrument.
