LEGAL ASSIGNMENT AGREEMENT

RECITALS

WHEREAS, Assignor is the sole owner of certain rights, title and interest in and to the assets, contracts, claims and other rights described below and identified as the "Assigned Rights"; and

WHEREAS, Assignee desires to acquire and Assignor desires to assign and transfer to Assignee all of Assignor's right, title and interest in and to the Assigned Rights on the terms and subject to the conditions set forth in this Agreement; and

WHEREAS, the parties intend that the assignment effected by this Agreement be absolute, irrevocable and to vest in Assignee the full legal and equitable ownership of the Assigned Rights as provided herein.

NOW, THEREFORE

In consideration of the mutual promises contained herein and for other good and valuable consideration, receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:

1. ASSIGNMENT

1.1 Assignment. Subject to the terms and conditions of this Agreement, Assignor hereby assigns, conveys and transfers to Assignee all of Assignor's right, title and interest in, to and under the Assigned Rights, whether existing now or arising in the future, including all proceeds, renewals, extensions, claims, causes of action and remedies related thereto.

3. REPRESENTATIONS AND WARRANTIES OF ASSIGNOR

Assignor represents and warrants to Assignee as of the Effective Date that:

(a) Assignor is the sole and lawful owner of the Assigned Rights and has good and marketable title thereto free and clear of any liens, encumbrances, security interests, adverse claims or restrictions, except as disclosed in writing to Assignee prior to the Effective Date.

(b) Assignor has full power, authority and legal right to execute, deliver and perform this Agreement and to transfer the Assigned Rights to Assignee; no authorization, approval or consent of any third party or governmental authority is required for the consummation of the transactions contemplated by this Agreement, except as expressly identified in writing.

(c) The execution and delivery of this Agreement by Assignor does not and will not, to the best of Assignor's knowledge, conflict with or result in a breach of any agreement, instrument or law binding on Assignor.

4. COVENANTS OF ASSIGNEE

4.1 Assumption of Rights and Obligations. Upon assignment, Assignee shall accept the Assigned Rights and shall assume only those liabilities and obligations specifically set forth in writing as assumed by Assignee in this Agreement.

4.2 Good Faith Enforcement. Assignee covenants to make commercially reasonable efforts to protect and enforce the Assigned Rights after the Effective Date at Assignee's cost and expense, subject to the terms of this Agreement.

5. FURTHER ASSURANCES

Each party agrees to execute and deliver such further documents and to take such further actions as may be reasonably necessary or desirable to effectuate the purposes and intent of this Agreement, including acknowledgments, assignments, notices to third parties and filings with governmental authorities.

6. CONFIDENTIALITY

Except as required by law or court order, the parties shall keep the terms, amount of consideration and other non-public aspects of this Agreement confidential and shall not disclose such information to any third party without the prior written consent of the other party.

7. INDEMNIFICATION

7.1 Assignor Indemnity. Assignor shall indemnify, defend and hold harmless Assignee from and against any and all losses, damages, liabilities, costs and expenses (including reasonable attorneys' fees) arising out of any breach of Assignor's representations, warranties or covenants under this Agreement occurring prior to the Effective Date.

7.2 Assignee Indemnity. Assignee shall indemnify, defend and hold harmless Assignor from and against any and all losses, damages, liabilities, costs and expenses (including reasonable attorneys' fees) arising out of Assignee's conduct after the Effective Date in connection with the Assigned Rights and any obligations expressly assumed by Assignee.

8. NOTICES

All notices and other communications required or permitted under this Agreement shall be in writing and delivered to the addresses set forth below (or to such other address as a party may designate by written notice in accordance with this Section):

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction specified below without regard to its conflict of law principles.

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written, between the parties.

11. SEVERABILITY

If any provision of this Agreement is held to be invalid, illegal or unenforceable, the remaining provisions shall remain in full force and effect and the parties shall negotiate in good faith to replace the invalid provision with a valid provision that achieves, to the extent possible, the economic, legal and commercial objectives of the invalid provision.

12. AMENDMENTS; WAIVER

No amendment or modification of this Agreement shall be effective unless in writing and signed by each party. No waiver of any breach or default shall constitute a waiver of any subsequent breach or default.

13. COUNTERPARTS; ELECTRONIC SIGNATURES

This Agreement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one and the same instrument. Signatures delivered by electronic means (including scanned or electronic signatures) shall be binding.
