LEGAL ASSISTANCE RETAINER

This Legal Assistance Retainer Agreement (the "Agreement") is entered into as of by and between Law Firm Name: with principal address: , and Client Name: , Client Address: .

RECITALS

WHEREAS, Client seeks the provision of legal services in connection with the matter described as: ; and

WHEREAS, Law Firm is duly authorized and qualified to provide legal services and has agreed to represent Client on the terms and conditions set forth in this Agreement; and

WHEREAS, the parties desire to set forth their respective obligations, fee arrangements and the scope of engagement in writing.

NOW, THEREFORE

In consideration of the mutual covenants contained herein, the parties agree as follows:

1. ENGAGEMENT

1.1 Engagement. Client hereby retains Law Firm to provide legal assistance and representation in the matter described above (the "Matter") and Law Firm accepts such engagement subject to the terms of this Agreement.

2. SCOPE OF SERVICES

2.1 Scope. Law Firm will perform legal services reasonably necessary to represent Client in the Matter, which may include legal research, drafting, negotiation, filing and court appearances as authorized by Client. Services outside this scope shall require a written amendment or separate agreement.

2.2 Exclusions. Law Firm is not retained to perform tax advice, accounting services, or representation in any matter not expressly described in this Agreement unless agreed in writing.

3. FEES AND BILLING

3.1 Hourly Rates. Services shall be billed at the following hourly rates: Lead Attorney per hour; Associate/Paralegal per hour. Rates may be adjusted on reasonable notice to Client.

3.2 Retainer Deposit. Client shall deliver an initial retainer deposit to Law Firm in the amount of which shall be held in Law Firm's trust account and applied to fees and expenses in accordance with applicable rules.

3.3 Billing Cycle and Payment. Law Firm will render itemized invoices on a basis. Payment is due within days of invoice. Unpaid amounts shall bear interest at the rate of or the maximum permitted by law, whichever is less.

4. EXPENSES AND DISBURSEMENTS

Client shall reimburse Law Firm for all reasonable and necessary out-of-pocket expenses incurred in connection with the Matter, including but not limited to filing fees, court costs, courier charges, deposition and transcript expenses, expert fees, travel and accommodation. Such expenses may be advanced by Law Firm and charged as incurred.

5. TRUST ACCOUNT AND RETAINER HANDLING

Funds paid as retainer will be deposited into Law Firm's client trust account and withdrawn to pay bills rendered to Client. Client acknowledges that earning of fees and expenses occurs as services are performed and that unused retainer balances will be returned to Client following final accounting upon termination of representation, subject to lawful offsets.

6. CONFLICTS; REPRESENTATION LIMITATIONS

6.1 Conflicts. Law Firm has conducted a conflicts check based on information provided by Client. Client represents that the information supplied is complete and authorizes Law Firm to undertake further conflict inquiries as necessary. If a conflict arises that prevents continued representation, Law Firm may withdraw in accordance with professional obligations.

6.2 Limited Scope. If the parties agree to a limited scope engagement, such limitations will be documented in writing and do not relieve Client of payment obligations for services performed within the limited scope.

7. CLIENT COOPERATION

Client agrees to cooperate fully, to be candid and timely in communications, to provide all documents and information reasonably necessary for representation, and to be available for conferences and signing documents. Failure to cooperate may be grounds for immediate withdrawal and termination of representation.

8. CONFIDENTIALITY AND ATTORNEY-CLIENT PRIVILEGE

Communications between Client and Law Firm concerning legal advice and representation are confidential and subject to the attorney-client privilege and work-product protections, subject to applicable law and Client consent for disclosure as required or permitted.

9. WORK PRODUCT AND DOCUMENTS

Documents prepared by Law Firm in connection with the Matter are the property of Law Firm until fees and expenses are paid in full, except that Client shall be entitled to copies of client files as required by applicable professional rules. Work product prepared for litigation remains privileged.

10. LIMITATION OF LIABILITY

Law Firm's liability for claims arising from this Agreement or the representation shall be limited to direct damages and in no event shall Law Firm be liable for consequential, incidental, punitive or exemplary damages. Any claim must be brought within one year of the event giving rise to the claim, to the extent permitted by law.

11. TERM AND TERMINATION

Either party may terminate this Agreement for convenience upon written notice. Upon termination, Client shall remain responsible for fees and expenses incurred up to the date of termination and for any reasonable transition costs. Law Firm may retain copies of Client files as permitted by professional obligations and applicable law.

12. NOTICES

Notices under this Agreement shall be in writing and delivered to the addresses above by personal delivery, overnight courier or certified mail and shall be effective upon receipt.

13. AMENDMENTS; WAIVER; COUNTERPARTS

This Agreement may be amended only by a written instrument signed by both parties. A waiver of any provision or breach shall not operate as a waiver of any other provision or subsequent breach. This Agreement may be executed in counterparts, each of which shall be deemed an original.

14. GOVERNING LAW; ENTIRE AGREEMENT; SEVERABILITY

This Agreement shall be governed by and construed in accordance with the laws of the state in which Law Firm maintains its principal office, without regard to conflict of law principles. This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior oral or written understandings. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.

15. AUTHORIZATIONS AND ACKNOWLEDGMENTS

Client acknowledges receipt of a copy of this Agreement and authorizes Law Firm to undertake the services described. Client represents that the person signing below is authorized to retain counsel and to obligate Client to the terms of this Agreement.
