This Legal Attachment Form ("Attachment") is entered into as of Effective Date: by and between Client Name: and Counterparty Name: (each a "Party" and together the "Parties").

RECITALS

WHEREAS, the Parties are parties to a principal agreement titled: , dated (the "Agreement");

WHEREAS, the Parties desire to attach certain additional documents, schedules, specifications, exhibits and clarifications to the Agreement to further describe obligations, deliverables, and administrative procedures;

WHEREAS, this Attachment is intended to become part of and be governed by the terms of the Agreement to the extent provided herein.

NOW, THEREFORE, in consideration of the mutual covenants and agreements set forth below and in the Agreement, the Parties agree as follows:

1. DEFINITIONS

1.1 Capitalized terms used but not defined in this Attachment shall have the meanings assigned to them in the Agreement. Where used in this Attachment, the following terms shall have the following meanings:

1.2 "Attachment" means this Legal Attachment Form and all documents, exhibits and schedules incorporated by reference herein.

2. IDENTIFICATION OF ATTACHMENTS

2.1 The following attachments are incorporated into the Agreement and shall have the priority set forth in Section 4:

3.1 Each attachment identified in Section 2 is hereby incorporated into the Agreement and shall have the same force and effect as if contained in the body of the Agreement. To the extent of any conflict between the Agreement and any attachment, the attachment shall control only to the extent it expressly states it supersedes a specific term of the Agreement and only with respect to the subject matter of that attachment.

4. SCOPE OF ATTACHMENT

4.1 This Attachment clarifies and modifies the scope of work, deliverables, milestones, pricing, or other administrative requirements as set forth in the identified attachments. All obligations set forth in any attachment are binding obligations of the Party expressly assigned such obligations therein.

5. CONFIDENTIALITY AND USE OF INFORMATION

5.1 To the extent that any attachment contains Confidential Information, such Confidential Information shall be handled in accordance with the confidentiality provisions in the Agreement. Each Party agrees not to use Confidential Information for any purpose other than performing its obligations under the Agreement and the attachments.

6. REPRESENTATIONS AND WARRANTIES

6.1 Each Party represents and warrants that it has the full right, power and authority to enter into this Attachment and to perform its obligations hereunder, and that execution and performance of this Attachment will not violate any agreement, law, regulation or order binding on such Party.

7. LIMITATION OF LIABILITY

7.1 Except as expressly modified by an attachment, the limitations of liability, indemnities and remedies in the Agreement apply to claims arising from or relating to this Attachment. No Party shall be liable for consequential, incidental, punitive or special damages except as expressly provided in the Agreement or an attachment.

8. TERM; TERMINATION

8.1 The term for each attachment shall be as set forth therein. Termination of the Agreement shall terminate this Attachment to the same extent the Agreement is terminated, unless an attachment expressly provides for survival of specified obligations following termination.

9. NOTICES

9.1 All notices related to this Attachment shall be given in the manner and to the notice addresses set forth below or in the Agreement.

10. AMENDMENT; WAIVER; COUNTERPARTS

10.1 This Attachment may be amended only by a written instrument executed by authorized representatives of both Parties. No waiver of any provision of this Attachment shall be effective unless in writing and signed by the waiving Party. This Attachment may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one instrument.

11. GOVERNING LAW; SEVERABILITY; ENTIRE AGREEMENT

11.1 Governing Law. This Attachment shall be governed by and construed in accordance with the laws of the state or jurisdiction specified in the Agreement without regard to conflict of law principles.

11.2 Severability. If any term or provision of this Attachment is held to be invalid or unenforceable by a court of competent jurisdiction, the remainder of this Attachment shall remain in full force and effect and shall be construed so as to effectuate the intent of the Parties as nearly as possible.

11.3 Entire Agreement. This Attachment, together with the Agreement and the attachments referenced herein, constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals or communications, whether oral or written, relating to the same subject matter.
