LEGAL ATTORNEY AGREEMENT

This Legal Attorney Agreement (the Agreement) is made and entered into as of Effective Date: by and between Client Name: , with Address: , and Attorney Name: , with Address: .

RECITALS

WHEREAS, Client seeks legal representation and advice regarding matters described in Section 2 (the "Matter"); and

WHEREAS, Attorney is duly licensed to practice law and has the experience and ability to represent Client in the Matter; and

WHEREAS, Client and Attorney desire to set forth the terms and conditions under which Attorney will provide legal services to Client.

NOW, THEREFORE, in consideration of the mutual covenants contained herein, the parties agree as follows:

1. ENGAGEMENT

Client retains and engages Attorney to provide legal services in connection with the Matter as set forth in this Agreement and Attorney accepts such engagement on the terms and conditions set forth herein.

2. SCOPE OF SERVICES

Attorney will perform legal services reasonably necessary to advise and represent Client in the Matter. Services may include legal research, drafting pleadings and agreements, negotiation, representation in administrative proceedings or litigation, and other tasks reasonably related to the Matter.

3. FEES AND BILLING

Unless otherwise agreed in writing, Client shall compensate Attorney as set forth below. Attorney will charge for professional time at the applicable hourly rates, plus reimbursement of costs and expenses incurred on Client's behalf.

Alternative fee arrangements (select all that apply):

Invoices will be rendered monthly unless otherwise agreed. Client shall pay invoiced amounts within days of receipt. Overdue balances may bear interest at the rate of per month or the maximum lawful rate, whichever is less.

4. RETAINER AND TRUST FUNDS

Client shall provide an initial retainer to secure payment of fees and costs. Retainer funds will be deposited into Attorney's trust account and applied to final billing in accordance with applicable professional rules.

5. COSTS AND EXPENSES

Client shall reimburse Attorney for out-of-pocket costs and expenses incurred in connection with the Matter, including filing fees, deposition costs, courier and messenger charges, expert fees, travel expenses, photocopying and long-distance communications. Unless otherwise agreed, Attorney may advance such costs and Client shall promptly reimburse Attorney.

6. CLIENT COOPERATION

Client agrees to cooperate with Attorney, provide truthful and complete information, execute documents reasonably required, attend meetings and hearings, and provide timely instructions. Failure to cooperate may be grounds for withdrawal or termination of representation.

7. CONFLICTS OF INTEREST

Attorney represents that, to the best of Attorney's knowledge, no present conflict of interest exists that would preclude representation. If a conflict arises, Attorney will notify Client promptly and take any steps required by applicable professional rules, which may include withdrawal from representation.

8. CONFIDENTIALITY AND PRIVILEGE

Attorney shall maintain the confidentiality of information received from Client to the extent required by law and professional rules. Communications between Client and Attorney are privileged and confidential, except as waived by Client or as required by law, court order, or to prevent reasonably certain death or substantial bodily harm.

9. RECORDS; FILES

Attorney's files pertaining to the Matter are Attorney's property but shall be preserved in accordance with professional obligations. Client may request delivery of Client files and Attorney will provide copies upon payment of outstanding balances and reasonable copying charges.

10. TERMINATION; WITHDRAWAL

Either party may terminate this Agreement upon written notice to the other. Upon termination, Client shall pay Attorney for services rendered and costs incurred through the effective date of termination. Attorney may withdraw if Client breaches material obligations, fails to pay fees or costs, or for other good cause under applicable rules.

11. LIMITATION OF LIABILITY

Except for conduct involving intentional wrongdoing or as otherwise required by law, Attorney's liability for claims arising out of or related to this Agreement shall be limited to the amount of fees paid by Client to Attorney for services rendered under this Agreement. This limitation is an allocation of risk agreed to by the parties.

12. NOTICES

Any notice required or permitted under this Agreement shall be in writing and shall be deemed given when delivered personally, sent by certified mail, return receipt requested, or delivered by recognized overnight courier, to the addresses set forth in the opening paragraph or such other address as either party may designate in writing.

13. AMENDMENTS; WAIVER

This Agreement may not be amended or modified except by a writing signed by both parties. No failure or delay by either party in exercising any right shall operate as a waiver of that right.

14. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the state specified by the parties below without regard to conflict of laws principles.

15. ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings and communications, whether written or oral.

16. SEVERABILITY

If any provision of this Agreement is held to be invalid, illegal or unenforceable in any respect, the validity, legality and enforceability of the remaining provisions shall not in any way be affected or impaired thereby.

17. COUNTERPARTS; ELECTRONIC SIGNATURES

This Agreement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one instrument. Signatures delivered electronically or by facsimile shall be binding for all purposes.
