RECITALS

WHEREAS, Client engaged Attorney to provide legal representation in the matter identified above and Attorney has represented Client since ; and

1. CLIENT CONSENT TO CHANGE OF COUNSEL

Client hereby authorizes and consents to the substitution of counsel and the withdrawal of Attorney from further representation in the matter identified above. Client acknowledges that Client has the absolute right to retain new counsel and that this consent is a voluntary and informed decision of Client.

2. ATTORNEY ACKNOWLEDGMENT AND WITHDRAWAL

Attorney acknowledges Client's direction to withdraw and agrees to take all reasonable and lawful steps to effect withdrawal, including preparing and filing a motion or stipulation to withdraw with the court, subject to the court's approval. 4. FEES, RETAINER AND ACCOUNTING

The parties acknowledge that outstanding fees, costs and trust account balances shall be accounted for as follows. Attorney shall prepare a final accounting of fees, costs and disbursements and deliver the accounting and any remaining trust funds (if applicable) to Client or New Attorney in accordance with applicable ethical rules and law.

All communications between Client and Attorney occurring prior to withdrawal are protected by attorney-client privilege and shall remain confidential. All notices, requests, demands and other communications under this Agreement shall be in writing and shall be deemed to have been duly given when delivered personally, sent by first-class mail (postage prepaid), or delivered by a nationally recognized overnight courier, to the addresses set forth below or to such other address as a party may designate by written notice to the other parties.

7. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the substantive law of the state of without regard to choice-of-law principles.

8. ENTIRE AGREEMENT; SEVERABILITY; AMENDMENT

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, representations and understandings of the parties, whether written or oral. If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. This Agreement may be amended only by a writing signed by both parties.

9. WAIVER; COUNTERPARTS

No waiver of any breach or default hereunder shall be deemed a waiver of any subsequent breach or default. This Agreement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one instrument. Facsimile or electronic signatures shall be treated as original signatures for all purposes.

Each party represents and warrants that it has the full right, power and authority to enter into this Agreement and to perform its obligations hereunder, and that the person signing below is authorized to execute this Agreement on behalf of the signing party.
