LEGAL ATTORNEY RECOMMENDATION FORM

This Legal Attorney Recommendation Form ("Agreement") is made effective as of Day: Month: Year: by and between Recommending Party: whose principal address is (the "Recommender"), and Recommended Attorney or Firm: Bar No.: whose principal address is (the "Recommended Attorney").

RECITALS

WHEREAS, the Recommender is acquainted with the professional qualifications, experience, and ethical standing of the Recommended Attorney and is willing to provide a formal recommendation to prospective clients or third parties for certain legal matters; and

WHEREAS, the Recommended Attorney represents that he or she is duly licensed to practice law, is in good standing before the relevant bar authority, and consents to receiving recommendations from the Recommender in accordance with the terms of this Agreement; and

WHEREAS, the parties desire to set forth the scope, limitations, and administrative terms governing such recommendations to ensure clarity and to address confidentiality, conflicts, and any referral compensation.

NOW, THEREFORE

In consideration of the mutual covenants contained herein and other good and valuable consideration, receipt of which is acknowledged, the parties agree as follows:

1. SCOPE OF RECOMMENDATION

1.1 Recommendation. The Recommender shall, from time to time, recommend the Recommended Attorney to prospective clients, organizations, or other third parties for representation in the following matter(s) and practice area(s):

1.2 Limitations. The recommendation is limited to the matters expressly identified above. The Recommender will not, by this Agreement, bind any prospective client to retain the Recommended Attorney or guarantee any outcome.

2. REPRESENTATIONS AND WARRANTIES

2.1 By entering into this Agreement, each party represents and warrants that it has full authority to execute this Agreement and that the statements made in connection with any recommendation shall be true, accurate, and not misleading to the best of the recommending party's knowledge.

2.2 The Recommended Attorney specifically represents that there are no pending disciplinary proceedings that would materially impair the ability to perform legal services, and will promptly notify the Recommender of any such proceeding that arises during the term of this Agreement.

3. CONFLICTS OF INTEREST

3.1 Each party shall conduct a reasonable conflicts check prior to referring or accepting any matter. If a conflict exists that would preclude representation, the recommending party shall immediately cease its recommendation for that matter and shall notify the other party.

4. CONFIDENTIALITY

4.1 Except as required by law or court order, neither party shall disclose confidential information learned solely through the act of recommending or receiving a recommendation. Confidential information does not include information that is or becomes publicly available other than by breach of this Agreement.

5.1 Any referral fee, rebate, or fee-splitting arrangement shall be governed by applicable professional conduct rules and shall be set forth in a separate written agreement executed by the parties and, when required, by the client. No compensation is implied by this Agreement.

6. INDEMNIFICATION

6.1 Each party agrees to indemnify, defend and hold harmless the other party from and against any and all claims, liabilities, losses, damages, costs and expenses (including reasonable attorneys' fees) arising out of or relating to the indemnifying party's negligent acts, willful misconduct, or breach of any representation, warranty or obligation under this Agreement.

7. NOTICES

7.1 All notices required or permitted under this Agreement shall be in writing and delivered by hand, overnight courier, or certified mail to the addresses set forth below or to such other address as either party may designate by notice pursuant to this section.

8. GOVERNING LAW; VENUE

8.1 This Agreement shall be governed by and construed in accordance with the laws of the state or jurisdiction specified below, without regard to its rules on conflicts of law. The parties submit to the exclusive jurisdiction of the courts located in the selected jurisdiction for disputes arising out of or relating to this Agreement.

9. ENTIRE AGREEMENT; SEVERABILITY

9.1 This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous understandings, agreements, and representations, whether written or oral.

9.2 If any provision of this Agreement is held to be invalid or unenforceable, the remainder of this Agreement shall remain in full force and effect, and the parties shall negotiate in good faith to replace the invalid provision with a valid provision that most closely approximates the parties' intent.

10. AMENDMENTS; WAIVER; COUNTERPARTS

10.1 Amendments to this Agreement must be in writing and signed by authorized representatives of both parties. No waiver of any provision shall be effective unless in writing signed by the party to be charged.

10.2 This Agreement may be executed in counterparts, each of which shall be deemed an original, and all of which together shall constitute one and the same instrument.

11. CERTIFICATION

The Recommender certifies that, to the best of its knowledge, the statements provided in connection with any referral are truthful and not misleading. The Recommended Attorney certifies that acceptance of a referred matter will be consistent with applicable rules of professional conduct and that the attorney shall disclose any required information to clients regarding the nature of the recommendation and any compensation arrangement.
