Recitals

WHEREAS, the Client engaged the Auditor to perform a legal due diligence review and audit of the Client's legal affairs, corporate records and material documents for the purpose of evaluating legal risks and compliance (the "Engagement"); and

WHEREAS, the Audit covered the period described below and included such interviews, document review and limited testing as the Auditor deemed necessary under the Engagement; and

WHEREAS, the Auditor has provided to the Client a written report and supporting schedules summarizing the procedures performed and the exceptions, if any, noted by the Auditor (the "Report").

NOW, THEREFORE

In consideration of the mutual covenants set forth herein, and subject to the terms and limitations below, the Auditor certifies as follows:

1. Definitions

For purposes of this Certificate: "Audit" means the procedures performed by the Auditor as described in the Report; "Material" or "Materiality" means matters or items that, in the Auditor's professional judgment, are reasonably likely to affect the decisions of a prudent third party relying on the Report.

2. Scope of Legal Audit

The Audit consisted of an examination of such corporate records, contracts and other documents as the Auditor selected, consisting principally of the matters checked below. The Audit did not constitute a comprehensive legal opinion addressing all legal risks.

3. Procedures and Standards

The Auditor performed procedures appropriate to legal due diligence engagements of this nature, including document review, targeted inquiries, and limited corroborative testing. The Audit was not an examination under any professional auditing standards for financial statements, and did not include independent fact-finding beyond documents and representations made available to the Auditor.

4. Findings and Certification

The Auditor hereby certifies, to the best of its knowledge after performing the Audit, that the Report fairly summarizes the Audit procedures performed and identifies the Material exceptions discovered during the Audit, subject to the limitations and qualifications set forth herein.

5. Reliance and Use

This Certificate and the accompanying Report are issued solely for the benefit of the Client and may be relied upon by the Client and by such third parties expressly identified in a written agreement signed by the Auditor. No other party is entitled to rely upon this Certificate without the prior written consent of the Auditor. The Auditor assumes no duty to any other party.

6. Limitations, Disclaimers and Liability

The Auditor’s procedures were limited in scope and duration and did not constitute a guarantee or warranty as to the absence of legal defects, noncompliance, or litigation risk. The Auditor expressly disclaims any liability for matters that were not reasonably discoverable through the Audit procedures performed. The Auditor’s liability to the Client for negligence, breach or otherwise shall be subject to any limitation of liability agreed in the Engagement letter executed by the parties.

7. Confidentiality

All documents and information reviewed by the Auditor in connection with the Audit are confidential and shall be handled in accordance with the confidentiality obligations set forth in the Engagement letter or other written agreement between the parties.

8. Notices

All notices required or permitted under this Certificate shall be in writing and delivered to the addresses set forth below (or such other address as a party may designate by written notice).

9. Amendments; Waiver

This Certificate may be amended only by written instrument signed by both parties. No waiver of any provision of this Certificate shall be effective unless in writing and signed by the party granting the waiver.

10. Governing Law

This Certificate shall be governed by and construed in accordance with the laws of the jurisdiction specified by the Client for governing law:

This Certificate, together with the Engagement letter and the Report, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior understandings and agreements, whether written or oral, relating thereto.

12. Severability

If any provision of this Certificate is held to be invalid or unenforceable, such provision shall be interpreted to accomplish the objectives of the parties to the fullest extent permitted by law, and the remaining provisions shall remain in full force and effect.

13. Counterparts and Electronic Signatures

This Certificate may be executed in counterparts, each of which shall be deemed an original, and all of which together shall constitute one and the same instrument. Signatures transmitted electronically shall be deemed original signatures for all purposes.
